About the position

The Administrator will work as part of the Starr Office of the Corporate Secretary to support the administration of the corporate governance function. This includes providing support on the management of board and committee meetings, managing the board portal, preparation and distribution of board meeting materials, drafting and filing minutes, drafting resolutions and liaising on director and officer matters for the entirety of the legal organizational structure of Starr on a worldwide basis. As a member of the Office of the Corporate Secretary the Administrator will work with the Secretary, Assistant Secretary and Governance Manager to support the operations of the corporate governance function at a global insurance company utilizing advanced communication and organizational skills with a high degree of accuracy and attention to detail, with a preference given to applicants with prior corporate governance experience either at a law firm or in-house. A paralegal background is preferred.

Responsibilities

  • Organizing and executing meetings of the Board of Directors, Committees and Shareholders through the preparation and distribution of agendas and meeting materials, calendar management and meeting logistics
  • Maintaining oversight of governance checklists and plans, performing legal research across insurance regulated jurisdictions to ensure requirements are being met
  • Coordination of the meeting materials for board and board committee meetings as set by the Office of the Corporate Secretary
  • Drafting of board minutes and resolutions
  • File board meeting minutes and resolutions for all worldwide subsidiaries in hard and soft copy according to recordkeeping protocols
  • Collaborating with the Corporate Secretary and Assistant Corporate Secretary on various corporate governance matters both domestic and international
  • Management of the legal entity management database and responding to requests for reports from the Office of the Corporate Secretary database
  • Perform online legal research and work with legal documentation. Familiarization with insurance regulations is a plus
  • Manage and effectively utilize a board portal for the distribution of documents

Requirements

  • At least 4-6 years' of experience as a paralegal or executive assistant in a corporate environment or at a nationally recognized law firm
  • Very strong communication, attention to detail and organizational skills are required
  • Ability to interact with personnel from all levels of the organization
  • Ability to multi-task and prioritize workload to meet deadlines in a fast-paced, dynamic environment
  • Must be able to keep company information and data confidential
  • Highly motivated, detail oriented and able to work in a team environment
  • Knowledge of the insurance industry and/or corporate secretarial best practices are a plus
  • Proficiency with Microsoft Word, PowerPoint, Visio and Excel are required
