About the position

The AVP, Senior Attorney - Executive Compensation and Benefits at TJX Companies is a senior role within the legal department, focusing on providing legal advice and support related to executive compensation and benefits. This position involves collaboration with various departments to ensure compliance with legal standards and to support the company's global total rewards strategies. The attorney will play a key role in matters involving the compensation committee and will be responsible for overseeing a range of compensation plans and processes.

Responsibilities

  • Provide comprehensive advice and support on executive and broad-based compensation plans and processes.
  • Draft and review equity and cash incentive plan documents, award agreements, and communications.
  • Prepare employment, consulting, separation, and restrictive covenant agreements.
  • Manage other employee benefit plans and programs, including nonqualified deferred compensation arrangements and severance arrangements.
  • Prepare the annual proxy statement and other disclosure and reporting materials.
  • Assist with matters involving the compensation committee, Board, and other oversight committees, including meeting materials and governance matters.
  • Engage in shareholder activities related to compensation and benefits matters.
  • Advise on compensation and benefits aspects of international operations and corporate transactions.
  • Provide counseling and strategic advice on tax, securities, employment, and other substantive issues.
  • Monitor and analyze developments and trends related to compensation and benefits.

Requirements

  • Juris Doctor (JD) degree and 10+ years of relevant legal practice, including large law firm experience; prior in-house public company experience strongly preferred.
  • Subject matter expert in executive compensation and employee benefits law with significant experience in corporate governance and public company disclosure.
  • Broad knowledge of legal aspects of executive compensation and employee benefits, including proxy disclosure and securities law requirements.
  • Experience with compensation-related matters for the compensation committee and Board.
  • Knowledge of design, implementation, and administration of compensatory plans and employee benefit arrangements.
  • Strong drafting and interpretation skills for sophisticated agreements and plans.
  • Understanding of fiduciary, tax, and compliance matters related to compensation and benefits.
