About the position

The Senior Lead Counsel II is a senior level position responsible for serving as strategic business partner and subject matter expert by providing legal counsel and thought leadership to the Global Trade business (the "Business"). The overall objective of this role is to provide legal support, advice, and guidance regarding various aspects of the Business but primarily and initially each of Core Trade (i.e. Documentary Credits), Export Agency Finance, Asset Distribution (i.e. balance sheet management including Basel III legal advice) and aspects of ESG in the context of Trade. The attorney will also be responsible for reviewing, drafting, and negotiating the documentation associated with those transactions. This role requires thorough understanding of the strategic direction of the Business, combined with knowledge of the laws and regulations for the geographies in which we operate. Provides input into strategic decisions, exercising sound legal judgement to develop proactive, risk-appropriate and commercially practical business-oriented solutions.

Responsibilities

  • Advising Business units on a broad range of global trade related transactions, including bilateral and syndicated trade loan facilities, import/export financing, draft discounting, letter of credit transactions, financial asset sales and participations, export agency finance, and trade service transactions.
  • Providing advice regarding Trade product structures and documentation and advising Citi business units, branches, subsidiaries and affiliates located outside the US regarding relevant matters of New York law.
  • Partner with Citi control functions such as Regulatory, Compliance, Risk, Finance and Tax on issues affecting the Trade business and will work on regional and global projects and initiatives, such as digitization.
  • Coordinate with Citi internal counsel outside the US on global issues and managing external counsel.
  • Familiarity with laws and customary practices applicable to the relevant businesses including the Uniform Commercial Code, ISP 98 and UCP.
  • Additional job-related responsibilities and duties may be assigned as required.
  • Providing product legal coverage for Export Agency Finance facilities, Core Trade Facilities (such as letters of credit, bank guarantees and related products), and Asset Distribution (such as risk mitigation, asset sales etc.).

Requirements

  • 10+ years of relevant industry experience with some experience working in an in-house legal role in financial services
  • Excellent leadership, interpersonal, organizational and relationship management skills
  • Experience in working with regulators/regulatory bodies is preferred
  • Proven ability to apply sound judgement while managing multiple assignments simultaneously in a demanding, fast-paced environment
  • Comprehensive knowledge of international, multi-jurisdictional laws, regulations and practices while staying abreast of regulatory and legal environment, internal policies and industry trends that impact the Business
  • Experience with complex deals, demonstrated ability to analyze issues and develop legal solutions
  • Effective communication and negotiation skills and ability to build and maintain trusted relationships
  • Bar license in good standing to practice law
