About the position

As a Paralegal for Legal Entities Governance at Solventum, you will play a crucial role in supporting the governance and compliance processes for various subsidiaries across multiple countries. This position involves collaborating with diverse teams and ensuring the accuracy of corporate records while managing compliance risks. You will also supervise third-party service providers and partner with legal and financial teams to streamline governance processes.

Responsibilities

• Support Solventum subsidiaries in France, Italy, Israel, Spain, Belgium, and Portugal with their annual governance and compliance process and other corporate legal resolutions.
• Supervise and direct the work of third-party service providers for corporate and subsidiary governance.
• Maintain Solventum's corporate records to ensure accuracy and completeness.
• Partner with Legal, Treasury, Finance, and Tax teams on governance aspects of corporate reorganizations/restructurings.
• Serve as a resource on corporate and subsidiary governance matters.
• Help streamline and manage corporate governance processes and compliance risks.

Requirements

• Bachelor's Degree or higher from an accredited university.
• Experience in corporate registration procedures in Spain, with additional experience in France, Belgium, and Portugal being a plus.
• Experience coordinating with internal and external legal counsel on maintenance of governance tasks in support of legal entities.
• Experience in using new technology for subsidiary management and governance.
• Experience in performing legal research.

• Ability to handle sensitive issues confidentially and diplomatically.
• Proficiency in Excel and PowerPoint.
• Experience with an electronic board portal, such as Diligent Boards.
• Experience in coordinating complex tasks with multiple team members with a strong focus on collaboration.
• Notary public qualification.
