About the position

The Senior Attorney, Compensation & Benefits at TJX Companies will play a crucial role in providing legal advice and support on a wide range of compensation and benefits matters. This position is part of the TJX Legal Department and involves collaboration with various departments, including human resources and finance, to ensure compliance and effective management of employee benefit plans. The role requires strong legal expertise, critical thinking, and the ability to operate at a senior executive level, contributing to the company's global total rewards strategies.

Responsibilities

  • Provide comprehensive advice and support on executive and broad-based compensation plans and processes.
  • Draft and interpret plan documents and employee communications.
  • Oversee plan design, investments, and administration, including reporting, disclosure, claims, and appeals.
  • Manage governance matters including resolutions, minutes, and processes for fiduciary committees.
  • Negotiate and draft plan service provider agreements.
  • Advise on employment, consulting, separation, and restrictive covenant agreements.
  • Handle executive compensation matters including proxy disclosure and shareholder engagement.
  • Counsel on compensation and benefits aspects of international operations and corporate transactions.
  • Provide strategic advice on technical tax, securities, employment, and other substantive issues.
  • Monitor and analyze related developments and trends.

Requirements

  • Juris Doctor (JD) degree and 5+ years of relevant legal practice, including large law firm experience.
  • Strong academic credentials and admission to practice law in Massachusetts or eligibility for Massachusetts In-House Counsel Registration.
  • Extensive experience with employee benefits and executive compensation, including design, implementation, and administration of compensatory plans.
  • Familiarity with fiduciary, tax, and compliance matters related to compensation and benefits, including ERISA and Section 409A of the Internal Revenue Code.
  • Ability to stay updated on emerging legal developments and market trends related to executive compensation and employee benefits.
  • Excellent communication and presentation skills, with the ability to convey complex topics clearly.
  • Strong drafting skills and attention to detail.
  • Highly organized with excellent project management, research, and analytical skills.
