About the position

The Senior Attorney, Compensation & Benefits at TJX Companies, Inc. will play a crucial role in providing legal advice and support on a wide range of compensation and benefits matters. This position is part of an established legal team that collaborates with various departments to ensure compliance and effective management of employee benefit plans and executive compensation strategies. The role requires strong legal expertise, critical thinking, and the ability to operate at a senior executive level within a hybrid work environment.

Responsibilities

  • Provide comprehensive legal advice on executive and broad-based compensation plans.
  • Draft and interpret plan documents and employee communications.
  • Oversee plan design, investments, and administration, including reporting and claims.
  • Manage governance matters for fiduciary committees and oversight committees.
  • Negotiate and draft plan service provider agreements.
  • Advise on employment, consulting, separation, and restrictive covenant agreements.
  • Handle executive compensation matters including proxy disclosure and shareholder engagement.
  • Counsel on compensation and benefits aspects of international operations and corporate transactions.
  • Monitor and analyze developments and trends in compensation and benefits law.

Requirements

  • Juris Doctor (JD) degree and 5+ years of relevant legal practice, including experience in a large law firm.
  • Strong academic credentials and admission to practice law in Massachusetts or eligibility for Massachusetts In-House Counsel Registration.
  • Extensive experience with employee benefits and executive compensation, including design, implementation, and administration of various compensatory plans.
  • Proficient in drafting and interpreting complex agreements and plans.
  • Knowledge of fiduciary, tax, and compliance matters related to compensation and benefits, including ERISA and Section 409A.
  • Ability to stay updated on legal developments and market trends in executive compensation and employee benefits.
  • Excellent communication and presentation skills, with the ability to simplify complex topics for diverse audiences.
  • Strong drafting skills and attention to detail.
  • Highly organized with project management, research, and analytical skills.
