About the position

This position leads the legal team supporting Warner Bros. Discovery's (WBD) US Ad Sales department. The primary focus of the role will be to draft and negotiate contracts for the US ad sales team while providing legal guidance and supervision to other attorneys and a senior paralegal on the team. Candidates must possess superior oral and written communication skills and be able to work collaboratively with clients and other attorneys in a team environment. The role requires a proactive approach to legal issues, ensuring that the ad sales team operates within the legal framework while maximizing business opportunities. As the leader of the US ad sales legal team, you will coordinate with the Executive Vice President of Legal, Streaming, Technology, Privacy, and Business Operations. This includes providing junior attorneys with supervision and guidance on legal strategy, risk assessment, and agreement terms. You will also collaborate with international ad sales legal and business teams, as well as outside counsel, to facilitate global deals. Your responsibilities will include negotiating, drafting, and interpreting various agreements related to advertising sales, integrations, and sponsorships, including programmatic and advanced advertising arrangements. In addition to contract negotiations, you will provide legal advice to various business units across the company regarding advertising, including guidance to the ad sales commercial clearance team on third-party advertising placed on WBD platforms. You will coordinate with internal stakeholders and other legal team members on issues related to various agreements, ensuring that all parties are aligned and informed. Maintaining positive working relationships with business clients, advertisers, agencies, and technology vendors will be crucial for the success of this role. You will interpret and advise clients, including senior management, on the company's rights and obligations under commercial contracts. Furthermore, you will manage agreements negotiated by outside counsel and assess business risks associated with these agreements. Staying current on industry developments and maintaining visibility in the industry by interacting with peers will also be part of your responsibilities.

Responsibilities

  • Lead the US ad sales legal team, coordinating with the EVP, Legal, Streaming, Technology, Privacy and Business Ops.
  • Supervise junior attorneys and provide guidance on legal strategy, risk assessment, and agreement terms.
  • Collaborate with ex-US ad sales legal and business teams, and outside counsel to facilitate global deals.
  • Negotiate, draft and interpret various agreements related to advertising sales, integrations, and sponsorships.
  • Provide legal advice to various business units regarding advertising and commercial clearance.
  • Coordinate with internal stakeholders on issues in various agreements.
  • Develop and maintain positive working relationships with business clients and related personnel.
  • Interpret and provide advice to clients regarding contractual provisions and financial aspects of ad sales contracts.
  • Manage and monitor agreements negotiated by outside counsel and assess business risks.
  • Stay current on industry developments and maintain visibility by interacting with peers.

Requirements

  • Minimum of 10 years' experience with commercial transactions, including contract negotiations and drafting, and advertising law.
  • Undergraduate degree required.
  • JD degree from an accredited law school required.
  • Active member of the United States Bar in good standing.
  • For NYC location - Admission to New York State Bar in good standing or willingness and qualification to obtain it.
  • Ability to manage a high-volume workload efficiently in a high-pressure environment.
  • Strong work ethic combined with a cooperative and collaborative team-oriented attitude.
  • Excellent interpersonal skills with the ability to establish productive relationships at all levels.
  • Excellent verbal and written communications skills.
  • High attention to detail and ability to multi-task under tight deadlines.
  • Strong proficiency in Microsoft Office including Outlook, Word, Excel, and PowerPoint.
  • Must have the legal right to work in the United States.
