About the position

The Assistant General Counsel, Mergers & Acquisitions plays a crucial role in supporting the General Counsel and senior business leaders at SGS North America. This position is responsible for overseeing all aspects of mergers, acquisitions, divestitures, and joint ventures, ensuring compliance with legal and regulatory requirements while managing the transaction process from due diligence to document negotiation. The role requires strong analytical and negotiation skills, as well as the ability to work independently and manage multiple projects in a fast-paced environment.

Responsibilities

  • Support the General Counsel and corporate development teams in all aspects of acquisitions, divestitures, and joint ventures.
  • Conduct due diligence and manage the transaction process, including drafting and reviewing legal documents.
  • Coordinate with internal and external stakeholders and manage outside counsel efforts.
  • Provide general counseling to senior management on acquisition and business strategies.
  • Perform legal, regulatory, and business-related research.
  • Participate in special projects requiring legal expertise.
  • Adhere to internal standards, policies, and procedures.
  • Manage subordinate staff in day-to-day performance.

Requirements

  • Juris Doctor degree from an accredited law school.
  • Over 5 years of experience as a practicing M&A attorney, with both private practice and in-house experience in U.S. and Canadian jurisdictions.
  • Member of New Jersey State Bar or eligible for NJ in-house counsel license.
  • Strong analytical, problem-solving, interpersonal, negotiation, and legal reasoning skills.
  • Ability to manage multiple projects in a fast-paced environment with minimal supervision.
  • Proven time management skills and attention to detail.

Nice-to-haves

  • Intermediate skills in Microsoft Office.
