About the position

Silicon Ranch is seeking an experienced Associate Legal Counsel specializing in Real Estate and Project Development to manage and lead the land functions of the company and its solar energy projects. The ideal candidate will be proactive, possess strong communication and legal writing skills, and be willing to assist the Real Estate and Project Development legal team and General Counsel in addressing the complex legal needs of the company. The role requires strong judgment, time-management skills, and the ability to work independently.

Responsibilities

  • Draft, negotiate, and administer real estate option agreements, lease agreements, easement option agreements, purchase agreements, and other site control documents.
  • Prepare closing documents and manage the closing for land acquisition and easement transactions, coordinating with represented and unrepresented landowners.
  • Secure title insurance for the company's growing real estate portfolio.
  • Manage and resolve title and ownership issues to ensure 'clean' title policies in collaboration with the project development business team.
  • Assist in real estate-related due diligence efforts in support of the Project Development team and M&A efforts.
  • Collaborate regularly with outside counsel, opposing counsel, unrepresented landowners, and title companies.
  • Provide general legal services outside of land matters as required.

Requirements

  • J.D. degree from an ABA-accredited US law school.
  • Active bar admission in good standing in at least one state with the ability to obtain bar admission in Tennessee.
  • Minimum of 4 years of significant, relevant experience as a transactional real estate lawyer at a top-tier law firm or sophisticated corporate legal department.
  • Experience managing commercial real estate matters, including land contracts and title issues.
  • Experience managing multiple commercial contracts and closings simultaneously.
  • Strong academic background from a reputable law school.
  • Strong interpersonal skills and the ability to communicate effectively with colleagues at all levels.
