About the position

We are seeking an Attorney/Lawyer to join our corporate department in Morristown, New Jersey. This permanent position involves providing transactional representation and business counseling to a diverse range of clients. The successful candidate will be responsible for preparing and negotiating contracts, conducting due diligence for transactions, and supporting client matters through legal research.

Responsibilities

• Preparing, reviewing, and negotiating various contracts, including purchase agreements, leases, and service agreements.
• Performing due diligence for mergers, acquisitions, and other transactions, including reviewing financial documents, contracts, and compliance with laws.
• Participating in the closing process for transactions, coordinating with various stakeholders and preparing closing documents.
• Conducting legal research to support client matters and keep updated on changes in corporate law and regulations.
• Conducting due diligence for mergers and acquisitions, reviewing financial documents, contracts, and corporate records to identify potential risks.

Requirements

• Juris Doctor (JD) degree from an accredited law school.
• Ideally 1-4 years' experience in corporate law, but will consider a litigator wanting to transition into corporate law.
• Good negotiation skills and the ability to work collaboratively with clients and colleagues.
• Ability to manage multiple tasks and maintain accuracy in document preparation and analysis.
• Strong work ethic.

Nice-to-haves

• Experience in corporate law from top tier or high achievement second tier schools.
