About the position

The M&A Attorney position at a major insurance company focuses on developing insurance solutions for companies and individuals involved in corporate mergers and acquisitions. The role requires a strong background in Mergers & Acquisitions, corporate law, taxation, and financial accounting, with an emphasis on understanding the dynamics of M&A transactions. The attorney will work closely with brokers, lawyers, and private equity fund principals to draft legal documents, analyze tax structures, and provide expert support for underwriting various types of insurance related to M&A transactions.

Responsibilities

• Maintain and develop relationships with M&A source producers such as brokers, lawyers, and private equity fund principals.
• Draft legal and commercial documents, including preparation and review of deal documents.
• Analyze tax structuring related to M&A transactions.
• Provide expert support to the underwriting of transaction risk, representation & warranty, tax liability, and contingent liability insurance.

Requirements

• Juris Doctor (JD) degree with a minimum of 5-10 years of experience in Mergers & Acquisitions and corporate law.
• Professional exposure to taxation, investment banking, and financial accounting.
• Strong understanding of the dynamics involved in M&A transactions.

Nice-to-haves

• CPA or MBA qualifications.
