About the position

At ICW Group, we are looking for a Paralegal to join our dynamic Legal Department. This role is essential in ensuring that our company remains compliant with state laws and that all legal matters are addressed appropriately. The Paralegal will be responsible for managing contracts and other legal documents, ensuring they are correctly stored and maintained. This position not only involves direct legal support but also includes training other legal staff, contributing to a collaborative and innovative work environment. The Paralegal will perform a variety of corporate secretarial functions, including gathering materials for meetings and filings, preparing for Company Board Meetings, and managing jurisdictional qualifications to do business. This role requires meticulous attention to detail as the Paralegal will maintain entity record books, oversee corporate documents, and manage corporate equity information in our online systems. Additionally, the Paralegal will handle litigation administrative duties, maintain litigation files, and provide support for subpoenas and complaints received. In this position, you will also assist attorneys with administrative tasks such as typing, photocopying, mailing, and filing, ensuring that the legal department operates smoothly and efficiently. Responsibilities

  • Perform corporate secretarial functions and gather materials for meetings and filings as needed.
  • Prepare and collect materials for Company Board Meetings.
  • Prepare and file all jurisdictional qualifications to do business and related corporate governance items.
  • Manage biographical affidavits for insurance companies as needed.
  • Maintain entity record books and prepare state admission filings.
  • Research regulatory requirements for filings and maintain contact with the applicable department of insurance.
  • Gather signatures and provide notarization of documents.
  • Maintain corporate equity information in the online system.
  • Oversee the maintenance of corporate documents and certificates.
  • Maintain document files in the legal department.
  • Prepare and send Nondisclosure Agreements (NDA) to third parties.
  • Maintain all Certificates of Authority for all insurance companies.
  • Maintain licensing for certain corporate entities and/or designated employees.
  • Perform litigation administrative duties and maintain litigation files.
  • Provide administrative support for subpoenas and complaints received.
  • Assist with submitting pleadings and subpoena responses as necessary.
  • Assist with processing department invoices, including via e-billing system.
  • Track time devoted to each case when applicable.
  • Support attorneys with administrative duties such as typing, photocopying, mailing, and filing.

Requirements

  • Bachelor's degree from a four-year college or university preferred with a major or emphasis in Business Administration, Management, or related field.
  • Minimum 2-5 years related experience and/or training, or equivalent combination of education and experience.
  • Paralegal certificate from an accredited program preferred.
  • Notary Public certification required but can be obtained after hire.
  • Proficient in use of Microsoft Office products and department matter management system.
  • Ability to read, analyze, and interpret general business or legal periodicals, professional journals, and government regulations.
  • Ability to write reports, business correspondence, and procedure manuals.
  • Ability to effectively present information and respond to questions from groups of managers, clients, customers, and the general public.
  • Ability to solve practical problems and deal with a variety of concrete variables in situations where only limited standardization exists.
  • Strong organizational skills and attention to detail.
