About the position

Anaplan is seeking a Corporate Paralegal to join our dynamic team in Minneapolis, MN. This role is critical in providing disciplined execution on a variety of legal topics, particularly in compliance, governance, and ESG initiatives for our global operations. The ideal candidate will be detail-oriented, eager to learn, and ready to support a small but mighty team. As a Corporate Paralegal, you will be responsible for providing corporate support for the creation and operation of corporate subsidiaries worldwide, which includes formations, dissolutions, drafting governing documents, and managing state and jurisdictional filings. You will also organize and maintain corporate minute books, records, and files, ensuring that all documentation is accurate and up-to-date. In addition to corporate support, you will coordinate with third-party service providers in corporate secretarial and subsidiary management matters. Your role will also involve supporting Anaplan's ambitious environmental initiatives by actively working with the team to respond to ESG questionnaires from clients, vendors, or partners. You will assist with corporate governance functions, including Board, Committee, and shareholder meetings, regulatory filings, and related documentation. This includes preparing and reviewing D&O questionnaires and responding to KYC and similar requests for internal and external partners. Moreover, you will support the administration of our Code of Ethics, whistleblower hotline, and other policies and programs. Your responsibilities will extend to supporting strategic transactions, including due diligence, document preparation, closing mechanics, and post-closing integration and administration of acquired companies. You will help develop, implement, and continually improve policies, processes, and procedures while collaborating with our Finance, Accounting, Tax, and HR teams. Project management support will also be part of your role, as you work on various team, department, and cross-functional projects and priorities as needed. Additionally, you will assist with a variety of other requests to support the legal team, including legal research, contract review, and compliance-related initiatives.

Responsibilities

  • Provide corporate support for the creation and operation of corporate subsidiaries worldwide, including formations, dissolutions, and drafting governing documents.
  • Organize and maintain corporate minute books, records, and files.

Requirements

  • 5+ years of prior experience as a corporate paralegal, either in a law firm serving technology companies or in-house at a technology company.
  • Associate degree or higher and paralegal certification.
  • Experience emphasizing project management, prioritization, multi-tasking, and consistently meeting deadlines.
  • Experience designing and implementing scalable, cross-functional processes for an evolving company.
  • Strong written and oral communication skills to collaborate with internal teams and external stakeholders.
  • Knowledge of international legal systems, including EMEA, APAC, and Canada.
  • Ability to work in a fast-paced, collaborative team environment.
  • Investigative mind and strong research skills.
  • Working knowledge of legal database software.
  • Ability to handle and be trusted with confidential and/or sensitive information.
