About the position

The Corporate Paralegal will play a crucial role in supporting the legal team at Global Partners LP, reporting directly to the Deputy General Counsel. This position involves collaboration with the Senior Paralegal and attorneys across various practice areas, including corporate governance, SEC reporting, business and financing transactions, contracts, licensing, and litigation. The ideal candidate will be a proactive problem solver with a strong ability to conduct effective research and communicate clearly with all levels of the organization. Attention to detail, organizational skills, and the ability to meet deadlines are essential for success in this role. In this position, the Corporate Paralegal will be responsible for applying for and tracking name reservations, obtaining certified copies of corporate documents, and managing various filings with state officials. The role also includes assisting with due diligence and closing matters related to mergers and acquisitions, preparing UCC financing statements, and maintaining corporate entities. The Corporate Paralegal will draft contracts and ancillary documents, assist with litigation matters, and maintain a trademark database, ensuring compliance with renewal requirements. Additionally, the paralegal will conduct research on relevant laws and regulations as needed, contributing to the overall efficiency and effectiveness of the legal department. Responsibilities

  • Apply for, obtain and track name reservations, certified copies of corporate documents, certificates of good standing, legal existence, foreign qualifications and various other documents from state officials.
  • Assist with due diligence and various closing matters in connection with mergers and acquisitions, dispositions and financing transactions.
  • Prepare and file UCC financing statements.
  • Assist with the formation and maintenance of corporations and other legal entities.
  • Prepare or coordinate federal, state and/or securities filings.
  • Draft contracts, certificates, and ancillary documents.
  • Assist with litigation matters.
  • Maintain trademark database and assist with obtaining specimens for trademark renewals.
  • Assist with special assignments as requested.
  • Conduct research on relevant laws, regulations and legal articles, as requested.

Requirements

  • Ability to maintain positive and cooperative relationships with legal staff, peers and clients.
  • Proficiency with Microsoft Office Suite programs.
  • 3 - 5 years of corporate experience.
  • Knowledge of legal practices and terminology.
  • Ability to handle multiple tasks from multiple project supervisors.
  • Excellent oral and written communication skills.
  • Knowledge of corporate governance and domestic and foreign entities, and familiarity with SEC filings.
