About the position

The Corporate Paralegal position at an offshore drilling contractor in Houston involves providing comprehensive legal support to the Senior Attorney and the Legal Department. This role is crucial for managing subsidiary governance, international branches, and joint venture agreements, ensuring compliance and good standing of subsidiaries, and supporting various corporate transactions.

Responsibilities

• Support the Senior Attorney - Corporate and the overall functions of the company's Legal Department on a global scale.
• Manage and provide legal support for subsidiary management, including international branches and joint venture governance, as assigned.
• Manage and provide legal support for all needs of the company's subsidiary governance and administration, including the formation, liquidation and maintenance of good standing status of subsidiaries.
• Provide legal support for financial statement approval, execution and filings.
• Provide legal support for intercompany restructuring transactions and intercompany agreements.
• Manage and provide legal support for the sale of rig assets.
• Proficient use of hCue for the sourcing of subsidiary and affiliate company information within the company corporate structure.
• Provide legal support for review, drafting and revision of corporate resolutions, various intercompany agreements and other corporate contracts.

Requirements

• 5+ years of corporate Paralegal experience
• Senior level Paralegal experience
• Proficient in legal drafting
