About the position

The Corporate Paralegal plays a crucial role in supporting corporate legal matters, particularly in the preparation of materials related to corporate governance and litigation support. This position requires a detail-oriented individual who can assist in various legal tasks, ensuring compliance and accuracy in documentation. The paralegal will be involved in drafting reports, processing legal documents, and conducting research to support the legal team. The role also includes responsibilities related to the preparation of documentation for corporate actions such as amendments, withdrawals, mergers, and dissolutions of various business entities including corporations, partnerships, and limited liability companies. In addition to corporate governance tasks, the paralegal will assist with contracts and contract administration, ensuring that all agreements are properly managed and executed. The position requires auditing company subsidiaries and preparing due diligence documentation for transactions, which includes the preparation and review of disclosure schedules. Legal research is a key component of this role, as the paralegal will be tasked with gathering relevant information to support ongoing legal matters. The Corporate Paralegal will also maintain internal legal department files, ensuring that all legal resources are up-to-date and accessible. Routine office duties such as photocopying, scanning, and filing are part of the daily responsibilities, along with ensuring the timely processing and payment of invoices. This position is essential for the smooth operation of the legal department and requires a proactive approach to managing both routine tasks and special projects.

Responsibilities

  • Assists with the preparation of reports and registration statements.
  • Supports in-house review and processing of documents for document preparation.
  • Assists in drafting of summary reports, and conducts related research and analysis.
  • Assists in the preparation of documentation for amendments, withdrawals, mergers and dissolutions of corporations, partnerships and/or limited liability companies.
  • Assists with contracts and contracts administration.
  • Assists in auditing company subsidiaries.
  • Assists with preparation and coordination due diligence for transactions and preparation and review of disclosure schedules required for such matters.
  • Conducts legal research as requested.
  • Assists with preparation and coordination due diligence of new business ventures.
  • Helps maintain internal legal department files and updating legal resources.
  • Performs routine office duties such as photocopying, scanning, filing, etc.
  • Ensures the timely processing and payment of invoices.

Requirements

  • Associate's degree required.
  • Minimum of five years of corporate paralegal experience.
  • Certified Paralegal desired.
  • Strong accounting background desirable.
  • Prior experience working with contracts and contracts administration preferred.
  • Proficient in MS Office Suite, including MS Excel.
  • Excellent written and verbal communication skills.
  • Demonstrates attention to detail.
  • Ability to work with highly confidential information.
  • Ability to work both independently and in a collaborative team setting.
  • Ability to manage both day-to-day operations as well as project work.
  • Ability to prioritize and multi-task successfully in a fast-paced environment.
