About the position

Farmers Business Network (FBN) is seeking a Corporate Paralegal and Stock Plan Administrator to join our dynamic legal team. This role is integral to maintaining the company's books and records, ensuring compliance, and supporting corporate governance processes. The successful candidate will work in a hybrid environment, combining both law firm and in-house experiences. Responsibilities will include preparing board and committee meeting agendas, resolutions, consents, and minutes, as well as facilitating annual board and shareholder meetings. The Corporate Paralegal will also serve as the principal stock plan administrator, responsible for preparing stock certificates, maintaining capitalization tables, and ensuring compliance with Rule 701. In addition to these duties, the Corporate Paralegal will draft and file corporate and securities filings, prepare legal opinions, and support M&A transactional diligence and post-transaction integration. The role will also involve managing an individual licensing program for agricultural crop inputs and supporting secured transactions work, including UCC and EFS filings. The Corporate Paralegal will communicate with regulators and inspectors, aid in litigation management, and maintain an internal filing system for documentation related to cases. The ideal candidate will possess strong organizational and communication skills, a high level of attention to detail, and the ability to handle multiple responsibilities simultaneously. A Bachelor's degree and a minimum of 6 years of experience as a corporate paralegal in both law firm and in-house settings are required. Advanced proficiency with CSC, G-Suite, Microsoft Word, and Excel is strongly preferred, along with familiarity with equity tracking systems such as Carta or Shareworks.

Responsibilities

  • Support corporate governance processes, including general recordkeeping, preparation of board and committee meeting agendas, presentations, resolutions, consents, minutes, periodic filings and required approvals.
  • Research Blue Sky issues and prepare required filings.
  • Facilitate annual board and shareholder meetings, assist with board and shareholder resolutions, manage board portal (Board Vantage).
  • Serve as principal stock plan administrator, including responsibility for preparing stock certificates, maintaining capitalization tables and option records, tracking and maintaining Rule 701 compliance.
  • Draft and file corporate and securities filings.
  • Prepare legal opinions and assemble opinion back-up.
  • Support M&A transactional diligence and post-transaction integration.
  • Manage individual licensing program for agricultural crop inputs.
  • Support secured transactions work including researching and completing UCC and EFS filings.
  • Monitor bonding requirements with insurance broker.
  • Communicate and provide timely information to regulators and inspectors.
  • Aid in litigation management, to include: maintaining an internal filing system for documentation related to cases, tracking deadlines, and prepping documents for subpoenas.

Requirements

  • Bachelor's degree required.
  • Minimum of 6 years of experience as a corporate paralegal in a law firm and in-house setting.
  • Paralegal Certificate or qualifying work experience required.
  • Strong organizational and communication skills.
  • High level of attention to detail and accountability for data.
  • Proven ability to work well in a team-oriented environment.
  • Advanced proficiency with CSC, G-Suite, Microsoft Word, and Excel is strongly preferred.
  • Familiarity with Carta, Shareworks, or similar web-based equity tracking system.
