About the position

A Corporate Paralegal will hold a critical role in a fast-paced IT Sales business by assisting the General Counsel and any other associates in a variety of tasks such as reviewing and redlining contracts, terms and conditions, managing various different projects for the legal division and sales team. The Corporate Paralegal is expected to complete all work with a high level of workmanship and quality and contribute to a respectful and collaborative work environment. This position requires the candidate to work in the Irvine, CA office three days each week, while allowing for remote work up to two days per week. The role involves conducting research and drafting other legal documents as necessary, ensuring that all tasks are completed efficiently and effectively. The Corporate Paralegal will work closely with the General Counsel to review, research, edit, and finalize NDAs for new and current customers, vendors, and partners. Responsibilities also include managing, preparing, drafting, reviewing, and assisting with negotiations of various contracts, including customer/vendor/partner agreements. The Corporate Paralegal will respond to inquiries from the team to ensure that all contracts, Statements of Work (SOWs), and/or NDAs assigned are fully executed. Maintaining updated templates as needed by the Legal Department is also a key responsibility. Collaboration with the IT Sales team in the review and execution of various legal documents, including SOWs, Contracts (SaaS), Software Licenses Agreements, Master Services Agreements, Third Party Vendors Agreements, MOUs, Amendments, and Letters of Intent (LOI) is essential. Additionally, the Corporate Paralegal will support the development and execution of policies and procedures, prepare legal memorandums as needed for files, and create summary reports for team members.

Responsibilities

  • Work closely with General Counsel to review, research, edit, and finalize NDAs for new and current customers, vendors, and partners.

  • Respond to inquiries from the team to ensure all contracts, SOWs, and/or NDAs assigned get fully executed.

  • Collaborate with IT Sales team in the review and execution of various legal documents including SOWs, Contracts (SaaS), Software Licenses Agreements, Master Services Agreements, Third Party Vendors Agreements, MOUs, Amendments, and Letters of Intent (LOI).
  • Support the development and execution of policies and procedures.
  • Prepare legal memorandums as needed for files and summary reports for team members.
  • Draft, review, redline, and manage various corporate contracts, SaaS contracts, and other legal documents.

Requirements

  • Strong Corporate/Contracts background in a fast-paced environment, preferably in IT Channel industry.
  • Minimum 5+ years of experience in reviewing, redlining, and negotiating contracts and agreements in a corporate setting.
  • Experience with commercial contracts review, redlining, and negotiations.
  • Savvy with corporate software and technology (NetSuite, DocuSign, Legal Contract Management Software, legal databases, etc.).
  • Ability to adapt in a fast-paced environment and meet short deadlines.
  • Work effectively in a team environment and manage multiple projects simultaneously.
  • Able to conduct legal research as necessary and prepare legal memorandums.
  • Ability to work independently and under tight deadlines, while producing high-quality work.
