About the position

Peloton is seeking an experienced and highly motivated individual to join our corporate legal team. This position will report directly to the VP, Associate General Counsel, Corporate, and will support our in-house corporate attorneys on a wide range of matters. These include board of directors and public company processes, securities law compliance, corporate transactions, legal entity management, and general corporate projects. The role also involves enhancing legal processes and efficiencies within the organization. The successful candidate will have the opportunity to work closely with Peloton's senior management and key business partners, contributing to the legal framework that supports our corporate governance and compliance efforts. The role is based out of our New York City headquarters and requires compliance with our hybrid work policy, which currently mandates in-office attendance on Tuesdays, Wednesdays, and Thursdays. Daily responsibilities will include assisting the corporate and securities team with ongoing public company matters, such as proxy statements, annual meetings, and quarterly filings. The candidate will prepare section 16 beneficial ownership filings for officers and directors, track insider trading policy pre-clearances, and assist with the preparation of corporate documents, including agendas and meeting minutes for board meetings. Additionally, the role involves supporting Peloton attorneys in corporate transactions and related due diligence efforts, managing global subsidiary and legal entity governance, and maintaining a comprehensive database of corporate documents. The candidate will also be expected to research and analyze corporate governance topics, track industry trends, and assist with special projects aimed at improving organizational efficiencies. This position requires cultivating positive relationships with various internal teams to drive efficiencies in a fast-paced and innovative environment.

Responsibilities

  • Assist the corporate and securities team with ongoing public company matters, including proxy statements, annual meetings, and quarterly filings.
  • Prepare section 16 beneficial ownership filings on Forms 3, 4, and 5 for officers and directors.
  • Track insider trading policy pre-clearances and 10b5-1 plan activity.
  • Assist with the preparation of draft documents, including agendas, corporate resolutions, and meeting minutes for board meetings.
  • Support Peloton attorneys in corporate transactions and related due diligence efforts, including loan agreements and capital markets activity.
  • Help manage global subsidiary and legal entity governance, local filings, and registrations.
  • Maintain a global subsidiary entity database, including corporate documents and compliance materials.
  • Research and analyze corporate governance topics and track industry precedent and trends.
  • Assist with special projects to develop team member lifecycle processes and create internal process guidelines.
  • Cultivate positive relationships with Legal, Tax, Finance, and senior business teams.

Requirements

  • 3+ years of paralegal experience focusing on public company governance, subsidiary/entity management, mergers and acquisitions, and securities law compliance.
  • Outstanding project management and organizational skills with a focus on continuous process improvement.
  • Demonstrated ability to track and analyze data to show results.
  • Strong team player with a strategic mindset and willingness to take on additional responsibilities.
  • Exceptional interpersonal and communication skills.
  • Self-motivated with a committed work ethic and ability to balance multiple tasks.

Nice-to-haves

  • Bachelor's degree preferred, and completion of ABA-approved paralegal program is a plus.
  • Familiarity with DocuSign, Workiva, Diligent, and other legal department management tools is a plus.
