As a Corporate Paralegal, you will play a crucial role in maintaining the organization's corporate filings, licensing, registrations, and related matters. You will also be responsible for maintaining the contract repository and supporting attorneys with contract interpretation and drafting as needed. This position requires strong time management and communication skills, as well as the ability to manage a wide variety of concurrent tasks and meet deadlines effectively. In this role, you will support corporate governance efforts, including entity management changes, annual filings, and maintenance of corporate trackers. You will serve as the primary point person for contract management, ensuring that all contracts are saved and maintained properly in the contract management software. Additionally, you will assist in drafting, formatting, proofreading, and editing legal documents, contracts, correspondence, and other materials as required. You will also manage intellectual property and license renewals, collaborate with attorneys and outside counsel, and assist with reporting and diligence requests from local regulatory authorities. Continuous improvement is key in this role, as you will identify opportunities for process enhancements within the legal department. You will also assist with the submission and tracking of various invoices and coordinate various legal projects. This position is ideal for someone who is highly analytical, detail-oriented, and possesses exemplary organizational skills. You will be expected to work independently with minimal supervision while maintaining a high level of integrity and professionalism in handling confidential matters.

Responsibilities

  • Maintain the organization's corporate filings, licensing, registrations, and related matters.
  • Maintain the contract repository and support attorneys with contract interpretation and drafting.
  • Support corporate governance efforts, including entity management changes and annual filings.
  • Serve as the primary point person for contract management, saving and maintaining copies of all contracts in the contract management software.
  • Assist in drafting, formatting, proofreading, and editing legal documents, contracts, correspondence, and other materials as required.
  • Maintain IP tracker and manage renewals and new applications for various business licenses.
  • Assist with completing and gathering necessary information for requests from local regulatory authorities.
  • Identify opportunities for process improvements and implement best practices within the legal department.
  • Assist with submission and tracking of various invoices and manage various legal projects.

Requirements

  • Bachelor's degree or equivalent experience in Legal, Business Administration, or related field.
  • 3-5 years of Paralegal or Legal Assistant experience.
  • Paralegal certificate preferred but not required for candidates with relevant experience.
  • Florida Licensed Notary is a plus.
  • Bilingual in English and Spanish is highly preferred.
  • Previous experience working in an in-house corporate legal department as a legal assistant or paralegal.
  • Highly analytical with exemplary organizational skills and attention to detail.
  • Knowledge of Microsoft 365 (e.g., SharePoint, Teams), Office Suite (e.g., PowerPoint, Word, Excel).
  • Experience with contract management software (CMS) is a plus.
  • Excellent written and verbal communication skills, including presentation skills.
  • Ability to influence and build strong professional relationships with business leaders and legal teams.
