About the position

We are seeking a proactive Paralegal to join our in-house team in Spokane, Washington. This role involves managing corporate entities, handling annual filings, minute books, contract redlining, licensing, and compliance. The ideal candidate will be responsible for ensuring that all corporate governance matters are handled efficiently and in accordance with legal requirements. This position requires a detail-oriented individual who can manage multiple tasks and deadlines while maintaining a high level of accuracy. The salary range for this position is between $70,000 and $110,000, depending on experience. Benefits include medical, dental, vision, and life insurance, a 401k plan with a 4% match, paid time off of 2+ weeks depending on experience, additional sick time as per Washington state requirements, paid volunteer time, matching donations, and other perks.

Responsibilities

  • Manage corporate entities by tracking the formation, renewals, maintenance, transfers, and dissolutions.
  • Keep up-to-date entity records, minutes, and ownership ledgers.
  • Assist in the application process for all master business licenses and manage their renewals.
  • Handle insurance matters including obtaining certificates of insurance, maintaining insurance matrix, and assisting with renewal applications.
  • Provide support to financial transactions by tracking loan compliance reporting needs, assisting with due diligence collection, and providing document preparation and execution support.
  • Draft, proofread, and incorporate redlines for contracts including Consultant Contracts, Construction Subcontracts, and Material Purchase Agreements.
  • Maintain and develop electronic and hard copy filing systems and trackers.
  • Coordinate onsite inspections by lenders and insurance companies.

Requirements

  • Demonstrated experience as a Corporate Governance Paralegal.
  • Proficiency in handling Annual Filings and Minute Books.
  • Experience with Redlining contracts.
  • Knowledge of Entity Formation procedures.
  • Familiarity with Dissolutions and Incorporation.
  • Proficiency in Microsoft Office suite, Adobe, Contract Management Databases / CRMs.
  • Bachelor's degree or Paralegal Certification preferred, not required.
