About the position

The Corporate Paralegal at Allegion will play a crucial role in supporting corporate governance and legal entity management for the company's 100 global subsidiaries. Reporting to the Senior Legal Manager - Corporate and Securities, this position is based in Carmel, Indiana, and offers a hybrid work environment. The Corporate Paralegal will be responsible for maintaining the corporate structure chart, organizing corporate minute books, and managing the subsidiary management database. This includes overseeing the annual meeting process for all global subsidiaries, which involves drafting board and shareholder resolutions, coordinating signatures, and ensuring timely filing of regulatory state filings for domestic subsidiaries. In addition to corporate matters, the Corporate Paralegal will liaise with outside counsel and vendors to ensure compliance with local legal requirements, support the formation or integration of new entities, and prepare necessary documents for effective entity management. The role also involves responding to requests related to global subsidiary matters from various departments and supporting significant corporate transactions such as mergers, restructurings, and capital changes. On the legal operations side, the Corporate Paralegal will manage the vendor payment process using Legal Tracker, support accrual inquiries from the finance team, and monitor invoices to ensure compliance with billing guidelines. This position requires a high level of professionalism, attention to detail, and the ability to work collaboratively across different functions within the company.

Responsibilities

  • Maintain the Company's corporate structure chart and organize corporate minute books.
  • Manage the subsidiary annual meeting process for all global subsidiaries, including drafting board and shareholder resolutions.
  • Coordinate the preparation, processing, and filing of regulatory state filings for domestic subsidiaries.
  • Liaise with outside counsel and vendors to ensure compliance with local legal requirements.
  • Support the formation or integration of new entities across the globe.
  • Prepare necessary documents for effective entity management, including governing documents and intercompany agreements.
  • Arrange internal director and officer signatures on corporate filings and documents.
  • Respond to requests related to global subsidiary matters from various departments.
  • Support significant corporate transactions, including tax and finance transactions, mergers, and restructurings.
  • Manage the vendor payment process using Legal Tracker for global legal matters.
  • Support accrual inquiries from the finance team and monitor invoices for timely processing.

Requirements

  • Minimum of 3+ years of previous corporate legal experience in a law firm or corporate legal department.
  • Bachelor's degree required or an Associate's degree and a Paralegal certificate.
  • Experience in International subsidiary management preferred.
  • Legal operations experience is a plus.
  • Proficiency with Microsoft Office Suite, Outlook365, SharePoint, and Adobe Acrobat.
  • Experience with Diligent Entities, GEMS, or similar software preferred.
  • Experience with Legal Tracker or similar e-billing software preferred.
  • Excellent attention to detail and highly organized.
  • Strong problem-solving and analytical skills.
  • Excellent written and verbal communication skills.
  • Ability to prioritize multiple time-sensitive tasks in a fast-paced setting.
  • Sound judgment and ability to take initiative.
