About the position

The Corporate Paralegal plays a crucial role within the Legal and Compliance department, supporting both domestic and international legal needs. This position involves working closely with in-house legal teams, external advisors, and various stakeholders to manage corporate governance, contract management, regulatory compliance, and legal research. The paralegal will also assist in litigation support and legal billing management, ensuring that the company adheres to all relevant laws and regulations.

Responsibilities

  • Assist in drafting, reviewing, and editing contracts, including NDAs, leases, service agreements, and vendor agreements.
  • Prepare and file KYC documents.
  • Support due diligence and corporate transactions, including mergers and acquisitions (M&A), divestitures, and strategic partnerships.
  • Ensure the company's compliance with local, regional, and international regulations, including data privacy laws (GDPR, CCPA), environmental standards, and industry-specific requirements.
  • Maintain corporate records and ensure regulatory filings are up to date across multiple jurisdictions.
  • Assist with internal audits, licensing, and certification renewals as required by TIC regulations.
  • Conduct legal research to ensure compliance with applicable laws and industry standards.
  • Assist in managing legal cases, including document gathering, discovery, and liaising with outside counsel as necessary.
  • Monitor legal trends, changes in legislation, and potential impacts on the TIC industry.
  • Support the General Counsel and management team in maintaining corporate governance best practices.
  • Assist in the preparation of materials for board meetings, including reports and resolutions.
  • Manage entity formation, dissolutions, and other corporate legal matters in various regions.
  • Maintain contract management databases, track key contract dates, and ensure timely renewals or terminations.
  • Liaise with internal stakeholders to ensure proper contract execution and adherence to legal and regulatory guidelines.
  • Apprise stakeholders in advance of expiration dates and performance obligations tied to contract termination and/or expiration.
  • Collaborate with teams across North America, Latin America, Europe, and other locations to provide legal support in different jurisdictions.
  • Coordinate with external counsel in various regions for local legal matters and regulatory filings.
  • Provide administrative support to the legal department, including calendaring, correspondence, invoice processing and spend management, and records management.

Requirements

  • Bachelor's degree or paralegal certification from an accredited program.
  • 4+ years of experience as a paralegal, preferably in the TIC industry or a related field such as energy or oil & gas.
  • Maintenance of corporate entities and corporate records in a multinational setting.
  • Managing KYC responses to customers, vendors, and government entities.
  • Contract management, contract intake, and contract review.
  • Strong organizational skills, attention to detail, and the ability to manage multiple tasks in a fast-paced environment.
  • Proficiency in legal research tools and contract management software.
  • Excellent written and verbal communication skills.
  • Ability to work both independently and as part of a cross-functional team, with a proactive and problem-solving mindset.

Nice-to-haves

  • Fluency in Spanish and/or other languages relevant to the company's operational regions.
  • Experience in a PE-backed organization or familiarity with private equity ownership structures.
  • Knowledge of M&A transactions and corporate governance in a multinational setting.
  • Familiarity with compliance matters like anti-bribery and anti-corruption laws, data privacy requirements like GDPR and CCPA, and conducting annual risk assessments.
