UB Greensfelder has nine primary office locations, including Chicago; Cincinnati; Cleveland; Columbus, Ohio; Florida; New York; Southern Illinois; St. Louis; and Washington, DC. The firm is currently seeking an experienced corporate paralegal to join its St. Louis office. This position is primarily in-office but allows for occasional remote work. As a corporate paralegal, you will play a crucial role in assisting attorneys with various aspects of mergers and acquisitions and corporate governance. Your responsibilities will include drafting and reviewing legal documents such as bylaws, compliance documentation, and organizational documentation. You will oversee all governance filings, manage corporate minute books, and ensure timely annual report filings. Additionally, you will maintain and update docket reminders for corporate governance deadlines, organize closing documents, and prepare electronic closing binders. You will also be responsible for preparing and filing state tax registrations, drafting stockholder consents, and working with attorneys as a registered agent to complete annual filings on behalf of clients. Your role will require you to draft certificates of limited partnerships, articles of organization, operating agreements for LLCs, and other state filings. You will prepare and file Uniform Commercial Code (UCC) financing statements and relevant IRS forms. As a key point of contact for clients, you will interpret data and provide necessary information to them. This position demands strong organizational skills, attention to detail, and the ability to manage multiple projects with competing deadlines. Excellent written and verbal communication skills are essential for success in this role.
