About the position

We are seeking a Corporate Paralegal to join our infrastructure company focused on acquiring real estate and developing renewable energy projects. The role involves managing corporate governance, contracts, and compliance, while supporting various legal functions in a collaborative environment. The ideal candidate will have experience in corporate law, particularly in the power and renewables sectors, and will be responsible for drafting and managing legal documents, ensuring compliance, and supporting corporate transactions.

Responsibilities

  • Drafting, filing and managing various business entity documents for corporations and LLCs, including entity formation and foreign qualifications.
  • Preparing resolutions, consents, board minutes and other corporate governance documents.
  • Ensuring compliance with corporate governance and regulatory requirements.
  • Assisting with contract negotiations and review.
  • Supporting management of active contracts, including real estate leases.
  • Assisting with all stages of corporate transactions, including mergers and acquisitions.
  • Communicating with internal and external stakeholders (e.g., board of directors and auditors).
  • Developing, implementing and managing policies and procedures for managing the company's records.
  • Preparing, updating and managing corporate policies and procedures.
  • Providing support in litigation and dispute resolution processes.
  • Supporting office manager functions when required.
  • Organizing and managing documents, including creating spreadsheets and retrieval systems.
  • Using legal software, databases and other software to support company operations.

Requirements

  • At least five (5) years of experience as a corporate paralegal, with a focus on corporate governance and contract management in an in-house law department or law firm.
  • Associate's degree from an ABA-approved paralegal education program or a bachelor's degree preferred.
  • Corporate governance and board reporting experience required.
  • Legal data rooms experience required.
  • Contract database experience required.
  • Certification, such as designation as a NALA Certified Paralegal or Advanced Certified Paralegal, NFPA Registered Paralegal, or NALS Professional Paralegal, a plus.

Nice-to-haves

  • Experience in the power and renewables sectors a plus.
  • Experience with NetSuite, Diligent, and SharePoint systems a plus.
  • Ability to interact and work directly with internal executive team a plus.
  • Experience with monthly, quarterly, and annual reporting to investors a plus.
