About the position

The Corporate Records Program Manager will serve as the primary governance liaison to trustees and senior management within Texas Health. This role involves managing the accurate record-keeping of meetings, drafting minutes, and coordinating resolutions for various boards and committees. The position requires strong organizational skills and the ability to work collaboratively with multiple stakeholders while ensuring compliance with regulatory requirements.

Responsibilities

  • Serve as the primary governance liaison to trustees and senior management of assigned entities.
  • Attend assigned board and committee meetings throughout North Texas and draft minutes for those meetings.
  • Manage the process from draft to signature for meeting minutes, including tight deadline calendars and coordination with attorneys and senior leadership.
  • Manage accurate record keeping of meetings, including key points, action items, and attendance records.
  • Develop and coordinate written consents for boards/committees of wholly controlled joint ventures and for-profit organizations.
  • Oversee agenda packet preparation for boards/committees, ensuring compliance with regulatory, licensing, and accreditation requirements.
  • Manage the drafting and filing of necessary documents for boards/committees, including certificates of formation and bylaws.
  • Coordinate record management of all corporate records for assigned entities, including bylaws, minutes, and resolutions.
  • Respond to requests for information from various system leaders, including Legal, Finance, and Risk.
  • Maintain the organizational structure of all wholly controlled, joint venture, and affiliation organizations.

Requirements

  • Bachelor's Degree in Business, Healthcare, or a related field.
  • 7 years of corporate, legal, or nonprofit governance experience, with 2 years in the healthcare industry, including experience managing/drafting board minutes and resolutions.
