Steptoe LLP, a prestigious Am Law 100 law firm based in Washington, DC, is seeking a Corporate Senior Paralegal to join its Transactions and Tax Practice Group. This role is pivotal in providing comprehensive support to lawyers within the corporate section, particularly in executing complex tasks that necessitate significant expertise in corporate law. The Corporate Senior Paralegal will be responsible for drafting and reviewing legal documents pertinent to corporate transactions, conducting thorough research and due diligence for mergers, acquisitions, and entity formations, and ensuring meticulous record-keeping to maintain compliance with both state and federal regulations. The ideal candidate will facilitate seamless communication with clients, oversee the organization and management of transactions, conduct legal research in corporate and business law, and cultivate expertise in the life cycles of public and private companies while navigating regulatory requirements and coordinating investor documentation. In this role, the Corporate Senior Paralegal will provide paralegal support to lawyers firm-wide on corporate and real estate transactions, as well as other complex corporate matters. Responsibilities will include preparing and coordinating routine corporate filings, conducting UCC and SEC research, preparing initial draft documents for company formations, amendments, dissolutions, stock certificates, and ledgers, as well as IRS filings. The paralegal will perform due diligence, prepare contract summaries, and file annual reports and corporate franchise taxes. Additionally, the role involves providing transactional support, including drafting initial documents, resolutions, checklists, research, proofing, editing, and document organization. The Corporate Senior Paralegal will also liaise with Secretaries of State, Foreign Consulates, the IRS, and other governmental organizations, serving as a liaison for clients and/or opposing counsel while keeping supervising lawyers informed. The position requires strong organizational skills to monitor ongoing responsibilities according to priorities and ensure that established schedules and deadlines are met. Daily time entries and other firm accounting documentation will also be part of the responsibilities, along with assisting with pro bono, firm-directed, and client development projects. The work environment is non-smoking, and the candidate must be able to maintain a flexible work schedule, with the ability to work beyond regular hours when necessary. Hybrid work arrangements may be available for this position, allowing for a blend of in-office and remote work.
