About the position

The Counsel, Contracts position at National Vision involves providing legal assistance to the office of General Counsel and the executive team on commercial, technology, and other contracts. This hybrid role allows for a blend of in-office and remote work, focusing on negotiating, drafting, and reviewing complex contracts while ensuring alignment with the company's business objectives and minimizing legal risks.

Responsibilities

• Negotiate, draft, and review complex contracts and contract-related documents.
• Assist in managing the Company's contract management and commercial contracting process.
• Draft and negotiate commercial and technology contracts, including master services agreements and software as a service agreements.
• Act as an advisor on legal and commercial risks associated with transactions.
• Draft and update contract and legal provision templates and review policies.
• Manage existing contracts manager position and collaborate on negotiation and contract management processes.
• Evaluate risk and assist in implementing compliant and commercial solutions.
• Build and maintain relationships with clients, vendors, and business connections.
• Manage outside counsel as needed.

Requirements

• 8+ years of legal experience within a law firm or a combination of law firm/in-house.
• JD from an accredited law school.
• Licensed to practice law by state bar association; member in good standing.

Nice-to-haves

• Experience with Commercial Contracts and Procurement.
• Experience managing complex contract matters and directing contracting strategy.
• Experience negotiating Software as a Service Agreements and Software Licensing Agreements.
• Experience negotiating data security and insurance provisions of contracts.
• General understanding of Health Law, HIPAA, and state Consumer Privacy Laws.
• Experienced user of Contract Management Software, preferably ICERTIS.
• Experience with AI tools, such as Microsoft Co-Pilot.
