About the position

The Director, Securities & Corporate Governance Counsel at JetBlue plays a pivotal role in shaping the company's legal strategy concerning corporate governance, securities laws, and executive compensation matters. This position requires a sharp, business-savvy lawyer with a robust background in corporate securities to lead the corporate function and manage compliance with securities laws, public company governance, and executive compensation. The Director will partner closely with the General Counsel & Corporate Secretary, ensuring that JetBlue adheres to all legal requirements while fostering a culture of integrity and transparency. In this role, the Director will be responsible for preparing and reviewing U.S. Securities and Exchange Commission (SEC) filings, including Forms 10K, 10Q, 8K, and proxy statements. They will develop and maintain policies to ensure compliance with securities-related regulatory requirements, including the Sarbanes-Oxley Act and NASDAQ listing standards. The Director will also manage corporate governance matters, supporting the company's board of directors and its committees, and will collaborate with internal stakeholders to prepare for board meetings and the annual meeting of shareholders. The Director will advise on investor relations matters, including earnings scripts, investor communications, and appropriate disclosures. They will work closely with the People Department on employment, equity plans, and executive compensation matters, ensuring that all board resolutions and materials are prepared accurately. Additionally, the Director will oversee compliance with Section 16 Ownership filings and manage new regulations affecting publicly held companies. This role also involves partnering with the Corporate Communications team on media and public relations initiatives, as well as handling other commercial transactions as needed. The ideal candidate will be an impactful leader, motivated to deliver results on complex projects while building relationships with the Senior Leadership Team and Board of Directors. Responsibilities

  • Prepare and review U.S. Securities and Exchange Commission (SEC) filings including Forms 10K, 10Q, 8K, proxy statements, and Section 16 Act forms.
  • Develop and maintain policies for compliance with securities-related regulatory requirements, including the Sarbanes-Oxley Act and NASDAQ listing standards.
  • Manage corporate governance and support the company's board of directors and its committees.
  • Advise on investor relations matters, including earnings scripts, investor communications, and appropriate disclosures.
  • Partner with the People Department on employment, equity plans, and executive compensation matters.
  • Prepare board resolutions and assist with Board and Board Committee materials.
  • Oversee compliance with Section 16 Ownership filings and manage trading by Officers, Directors, and Principal Security Holders.
  • Provide oversight and manage new regulations and rules for publicly held companies.
  • Support matters involving regulators and respond to comment letters and information requests.
  • Partner with the Corporate Communications team in media and public relations, marketing, and brand management.

Requirements

  • Law degree and admission to the Bar of a state or jurisdiction of the United States.
  • Seven (7) years of public company securities, major law firm, corporate legal department, or applicable government agency experience; combined law firm and in-house experience preferred.
  • Mastery of communication skills and styles, both written and verbal.
  • Expertise in securities laws and filings and corporate governance matters.
  • Experience working with public company boards and committees.
  • Knowledge of equity compensation plans and executive compensation.
  • Outstanding judgment and integrity; intellectual curiosity, innovative thinking, and ability to provide practical and solution-oriented advice.
  • Strategic thinker with demonstrated ability to influence and analyze data.
  • Strong team player attitude with the ability to build and maintain relationships at all levels.
