About the position

The Equity Compensation Analyst at BankUnited plays a crucial role in managing the day-to-day administration of the company's equity compensation plans. This includes overseeing stock options, restricted stock awards, restricted stock units, and performance stock units. The analyst will be responsible for administering equity plans, which involves tracking plan balances, managing the online grant process, and ensuring the accuracy of employee data in the Benefits Online portal. The role requires effective coordination of activities between payroll, tax, accounting, legal, and vendors for all grant and vesting events. The analyst will also monitor the burn rate and projected needs for new authorizations, while leading efforts to implement and improve processes related to the equity program, including the introduction of automated solutions. In addition to plan administration, the Equity Compensation Analyst will support accounting, financial reporting, and tax functions related to equity award transactions. This may involve maintaining reports, preparing reconciliations, and ensuring the accuracy of equity award transaction data. The analyst will work closely with the payroll department for processing executive incentive payments and will prepare annual and ad-hoc requests for NEOs and the Board of Directors regarding information needed for individual tax filings. Furthermore, the analyst will coordinate the company's quarterly shareholder dividend payment process and work with the SOX 404 team to maintain appropriate internal control procedures. The role also includes assisting with proxy planning and preparation, particularly concerning disclosures about executive and equity-based compensation. The analyst will identify when Forms 3, 4, and 5 are required and assist with filings, maintain ownership tracking for Section 16 Officers and Directors, and support 10b5-1 plan transactions for directors and NEOs. Additionally, the analyst will compile and analyze benchmarking data related to equity and executive compensation plans and coordinate with external compensation consultants regarding NEO compensation plans. The Equity Compensation Analyst must maintain a high regard for privacy and confidentiality, assist with special projects, and comply with applicable federal and state laws and regulations, including those related to anti-money laundering. This position requires a proactive approach to identifying and reporting suspicious activity, adhering to Bank policies and procedures, and completing required training.

Responsibilities

  • Administer equity plans, including tracking of plan balances, NEO restricted stock and performance units, online grant process, exercises and releases, cancellations, and terminations.
  • Manage and maintain database integrity and ensure accuracy of employee data contained in the Benefits Online portal.
  • Act as the subject matter expert to ensure effective coordination of all activities between payroll, tax, accounting, legal, and vendor for all grant and vesting events.
  • Monitor burn rate and projected need for new authorizations.
  • Lead efforts to implement and improve processes related to equity program, including the implementation of automated solutions.
  • Serve as a primary point of contact for executive and employee participant inquiries and requests related to awards.
  • Assist with employee training on policies related to the equity compensation program.
  • Support accounting, financial reporting, and tax functions with respect to equity award transactions; maintain reports and prepare or assist with reconciliations and reviews of accuracy of equity award transaction data.
  • Work closely with payroll department for processing of executive incentive payments.
  • Prepare annual and ad-hoc requests for NEOs and BOD pertaining to information needed for individual tax filings.
  • Coordinate the Company's quarterly shareholder dividend payment process, including funding to transfer agent and maintaining recordkeeping of dividend payments for unvested shares.
  • Work with SOX 404 team to maintain and document appropriate internal control procedures; interface with internal and external auditors as necessary.
  • Identify opportunities for process improvement.
  • Assist with proxy planning and preparation, particularly as it relates to disclosures about executive and equity-based compensation.
  • Identify when Forms 3, 4, and 5 are required and assist with filings.
  • Maintain ownership tracking for Section 16 Officers and Directors.
  • Support 10b5-1 plan transactions for directors and NEOs, including coordinating with brokers and processing transactions.
  • Assist in compiling and analyzing benchmarking data with respect to equity and executive compensation plans.
  • Coordinate with external compensation consultant with respect to NEO compensation plans.
  • Maintain high regard for privacy and confidentiality.
  • Assist with other special projects and confidential matters as requested.

Requirements

  • Bachelor's Degree or equivalent experience in finance or accounting strongly preferred.
  • Minimum of 3+ years of stock administration role in a publicly traded company.
  • Experienced with Benefits Online equity system.
  • Proficient in Excel.
  • Strong organization and communication skills.
  • Comprehensive knowledge of various types of equity awards and programs across multiple jurisdictions.
  • Ability to work independently and manage multiple priorities in a fast-paced environment.
  • Familiar with ASC 712, accounting for compensation, is a plus.
  • Ability to be discrete when dealing with confidential information.
