The Equity Compensation Analyst at BankUnited plays a crucial role in managing the day-to-day administration of the company's equity compensation plans. This includes overseeing stock options, restricted stock awards, restricted stock units, and performance stock units. The analyst will be responsible for administering equity plans, which involves tracking plan balances, managing the online grant process, and ensuring the accuracy of employee data in the Benefits Online portal. The role requires effective coordination of activities between payroll, tax, accounting, legal, and vendors for all grant and vesting events. The analyst will also monitor the burn rate and projected needs for new authorizations, while leading efforts to implement and improve processes related to the equity program, including the introduction of automated solutions. In addition to plan administration, the Equity Compensation Analyst will support accounting, financial reporting, and tax functions related to equity award transactions. This may involve maintaining reports, preparing reconciliations, and ensuring the accuracy of equity award transaction data. The analyst will work closely with the payroll department for processing executive incentive payments and will prepare annual and ad-hoc requests for NEOs and the Board of Directors regarding information needed for individual tax filings. Furthermore, the analyst will coordinate the company's quarterly shareholder dividend payment process and work with the SOX 404 team to maintain appropriate internal control procedures. The role also includes assisting with proxy planning and preparation, particularly concerning disclosures about executive and equity-based compensation. The analyst will identify when Forms 3, 4, and 5 are required and assist with filings, maintain ownership tracking for Section 16 Officers and Directors, and support 10b5-1 plan transactions for directors and NEOs. Additionally, the analyst will compile and analyze benchmarking data related to equity and executive compensation plans and coordinate with external compensation consultants regarding NEO compensation plans. The Equity Compensation Analyst must maintain a high regard for privacy and confidentiality, assist with special projects, and comply with applicable federal and state laws and regulations, including those related to anti-money laundering. This position requires a proactive approach to identifying and reporting suspicious activity, adhering to Bank policies and procedures, and completing required training.
