About the position

The Equity and Executive Compensation Analyst at BankUnited is responsible for managing the day-to-day administration of the company's equity compensation plans, which include stock options, restricted stock awards, restricted stock units, and performance stock units. This role also encompasses all aspects of executive compensation. The analyst will serve as a subject matter expert, ensuring effective coordination of activities between payroll, tax, accounting, legal, and vendors for all grant and vesting events. The position requires a strong focus on maintaining database integrity and accuracy of employee data in the Benefits Online portal, as well as monitoring burn rates and projected needs for new authorizations. Additionally, the analyst will lead efforts to implement and improve processes related to the equity program, including the implementation of automated solutions. The role also involves assisting with employee training on policies related to the equity compensation program and serving as a primary point of contact for inquiries related to awards. In terms of accounting and financial reporting, the analyst will support functions related to equity award transactions, including maintaining reports and preparing reconciliations. This includes working closely with the payroll department for processing executive incentive payments and coordinating the company's quarterly shareholder dividend payment process. The analyst will also assist with proxy planning and preparation, particularly regarding disclosures about executive and equity-based compensation, and will be involved in governance activities such as maintaining ownership tracking for Section 16 Officers and Directors. The position requires a high regard for privacy and confidentiality, as well as adherence to applicable federal and state laws and regulations. The analyst will also assist with special projects and confidential matters as requested, ensuring compliance with Bank policies and procedures.

Responsibilities

  • Administer equity plans, including tracking of plan balances, NEO restricted stock and performance units, online grant process, exercises and releases, cancellations, and terminations.
  • Manage and maintain database integrity and ensure accuracy of employee data in the Benefits Online portal.
  • Coordinate activities between payroll, tax, accounting, legal, and vendors for all grant and vesting events.
  • Monitor burn rate and projected need for new authorizations.
  • Lead efforts to implement and improve processes related to the equity program, including automated solutions.
  • Serve as a primary point of contact for executive and employee participant inquiries related to awards.
  • Assist with employee training on policies related to the equity compensation program.
  • Support accounting, financial reporting, and tax functions with respect to equity award transactions.
  • Prepare annual and ad-hoc requests for NEOs and BOD for individual tax filings.
  • Coordinate the Company's quarterly shareholder dividend payment process.
  • Work with SOX 404 team to maintain and document internal control procedures.
  • Assist with proxy planning and preparation, particularly for disclosures about executive and equity-based compensation.
  • Identify when Forms 3, 4, and 5 are required and assist with filings.
  • Maintain ownership tracking for Section 16 Officers and Directors.
  • Support 10b5-1 plan transactions for directors and NEOs.
  • Assist in preparing materials for the Compensation Committee.
  • Compile and analyze benchmarking data for equity and executive compensation plans.

Requirements

  • Bachelor's Degree in finance or accounting strongly preferred.
  • Minimum of 3+ years of experience in a stock administration role in a publicly traded company.
  • Completion of Certified Equity Professional (CEP) Level 2; full designation (Level 3) preferred.
  • Experience with Benefits Online equity system.
  • Proficient in Microsoft Excel.
  • Strong organizational and communication skills.
  • Comprehensive knowledge of various types of equity awards and programs across multiple jurisdictions.
  • Ability to work independently and manage multiple priorities in a fast-paced environment.
  • Familiarity with ASC 712, accounting for compensation, is a plus.
  • Ability to maintain discretion when dealing with confidential information.

Nice-to-haves

  • Familiarity with SEC rules related to executive compensation disclosures.
  • Experience with automated solutions for equity program management.
