About the position

The ESOP Paralegal will play a crucial role in supporting the legal team of a reputable international firm by managing and administering Employee Stock Ownership Plans (ESOP). This position involves a variety of responsibilities including corporate secretarial duties, compliance, and support for transactional matters, ensuring that all legal documentation and filings are handled efficiently and accurately.

Responsibilities

  • Administration of Employee Stock Ownership Plan (ESOP).
  • Organize and maintain corporate minute books, records, and files.
  • Maintain the Company's subsidiary management system and corporate secretarial services.
  • Coordinate with third-party service providers in corporate secretarial and subsidiary management matters.
  • Maintain trackers and records to monitor filing requirements and deadlines.
  • Prepare resolutions and documents, incumbency certificates, and respond to KYC and similar requests for internal and external partners.
  • Draft and file corporate formations, qualifications, amendments, conversions, withdrawals, and consolidations, and annual reports.
  • Draft governing documents including certificates of formation and limited liability company agreements and authorizing resolutions.
  • Draft minutes and other corporate resolutions and actions.
  • Draft and file EIN applications with the IRS.
  • Manage and review registered agent filings and invoices.
  • Utilize legal department's contract and project management tools.
  • Assist the legal team with special projects as assigned.
  • Assist with transactional matters and closings, including M&A, financing, real estate, and other transactions.
  • Provide support for litigation and dispute matters, including legal holds, maintaining docket trackers, maintaining records and agreements for matters and related processes.
  • Provide support for compliance and licensing filings.
  • Assist with a variety of other requests to support the legal team as may arise from time to time, including legal research, contract review, and compliance-related initiatives.

Requirements

  • Minimum of 5 years of ESOP administration experience.
  • 4-7 years of experience including corporate secretarial and subsidiary management.
  • Excellent verbal and written communication skills.
  • Excellent organizational skills and attention to detail.
  • Excellent time management skills with a proven ability to meet deadlines.
  • Strong analytical and problem-solving skills.
  • Highly collaborative with the ability to work well with team and senior executives.
  • Ability to function well in a fast-paced and rapidly changing environment.
  • Ability to maintain confidentiality and exercise discretion and good judgment.
  • Proficient in Microsoft Office Suite and familiarity with Google Suite.
  • In-house experience preferred.
