About the position

The In-House Paralegal position is designed for a highly organized and meticulous individual with corporate law experience. This role involves providing comprehensive support to the in-house legal team, ensuring the smooth handling of legal matters across all corporate entities. The position offers a hybrid work schedule and is an opportunity to work with one of Birmingham's top companies.

Responsibilities

  • Assist in coordinating corporate governance activities, including board, shareholder, and annual meetings.
  • Prepare and ensure timely filing of all related documents, such as minutes, consents, and agreements, for both domestic and international entities.
  • Work closely with legal counsel to manage real estate and transactional documents, including drafting, reviewing, executing, notarizing/apostilling, and filing necessary documents.
  • Provide notary services as needed.
  • Facilitate the approval and payment of third-party legal fees.
  • Coordinate with external counsel on litigation matters, including handling service of process and subpoenas.
  • Support the formation of new entities by ensuring proper execution and filing of required documents in relevant jurisdictions.
  • Manage and maintain physical and electronic legal document storage for all entities.
  • Organize all contracts, agreements, supporting documents according to established file naming and retention policies for easy access.
  • Track confidentiality agreements, ensuring receipt of executed copies, and maintaining a list of active agreements.
  • Coordinate all incoming and outgoing legal correspondence.
  • Perform other relevant duties as assigned.

Requirements

  • At least 1 year of corporate law experience required.
  • Excellent organizational skills with a keen eye for detail.
  • Ability to work independently and effectively communicate with a diverse group of professionals.
  • Strong multitasking and prioritization skills with a focus on meeting deadlines.
  • Proficiency in Microsoft products (Word, Excel, and Adobe Acrobat Pro) is essential.

Nice-to-haves

  • Experience with legal document management systems (e.g., NetDocuments) and electronic signature platforms is highly preferred.
