About the position

As a Legal Counsel within the Corporate & Transactions Law team at RWE Offshore Wind, you will play a pivotal role in supporting the US Offshore Wind business. This position is based in either San Francisco, CA or Boston, MA, and is designed for a qualified candidate who will be the second Transactions lawyer in the US team. You will collaborate closely with a small team of approximately 5-7 other legal professionals, providing comprehensive legal support across various corporate, procurement, and regulatory matters. Your primary responsibilities will include offering legal guidance for corporate activities, mergers and acquisitions (M&A), joint ventures, and partnerships, ensuring that all legal aspects are meticulously managed and aligned with the company's strategic objectives. In your day-to-day role, you will be the first point of contact for legal matters within the Offshore Wind team, working in conjunction with departments such as Development, Finance, and External Relations. You will be responsible for negotiating and managing joint venture agreements, overseeing legal matters related to project development, and advising senior management on legal risks associated with claims and disputes. Additionally, you will drive standardization and process improvement initiatives within the team, ensuring that legal support is efficient and effective. The ideal candidate will possess a strong background in corporate and transactional law, particularly in the context of large-scale infrastructure projects. While experience in renewable energy, especially offshore wind, is beneficial, it is not a prerequisite. You will need to demonstrate a practical approach to legal issues, focusing on finding viable business solutions in a fast-paced environment. This role also requires a willingness to travel, particularly to Boston at least once a month, and potentially to other locations in Europe for project-related matters.

Responsibilities

  • Provide legal support for all corporate, M&A, partnering, and joint venture activities of the RWE Offshore Wind business in the US.
  • Negotiate potential new joint venture partnerships and manage ongoing joint venture relationships.
  • Support the purchase or sale of development-stage project assets and internal corporate governance.
  • Advise on, develop, draft, and align internal and external policies and procedures for RWE's US Offshore Wind business.
  • Act as the first point of contact within the legal team for various departments, coordinating legal advice efficiently.
  • Coordinate legal support for key project milestones, including BOEM auctions and tax equity financing.
  • Oversee all legal matters relating to projects and advise senior management on legal risks, including claims and disputes.
  • Provide legal support in relation to disputes arising from joint venture partnerships.
  • Drive standardization and process improvement initiatives within the US Offshore Wind team and the global Legal team.
  • Develop customized solutions to address complex project challenges and negotiate contracts on behalf of joint venture entities.

Requirements

  • Qualified as a lawyer in the US with a JD degree; preferred jurisdictions include New York, Massachusetts, and California.
  • At least 5 years of work experience as a lawyer in esteemed law firms or as in-house counsel in the energy sector or on complex international infrastructure projects.
  • Significant expertise in complex M&A transactions and corporate governance, especially for joint ventures.
  • Experience with power purchase arrangements and financing of infrastructure projects, including tax equity financing.
  • Demonstrated ability to apply a practical focus to legal issues and find viable business solutions.
  • Strong organizational, analytical, and communication skills, with a solution-oriented mindset.

Nice-to-haves

  • Experience in renewable energy projects, particularly offshore wind.
  • Project management or project leadership experience.
  • Commercial and technical understanding of large industrial projects.
