About the position

Terumo Medical Corporation (TMC) is seeking a Legal Operations Assistant to support various legal, compliance, and intellectual property matters for Terumo Americas Holding, Inc. and its subsidiaries. This role is crucial in ensuring that the legal operations run smoothly and efficiently, contributing to the overall success of the organization. The Legal Operations Assistant will be involved in a wide range of responsibilities, including corporate governance, commercial operations, contracting, employment matters, business development, mergers and acquisitions, and litigation management. The position requires a proactive approach to data collection, organization of materials, and preparation of reports, spreadsheets, and presentations. Additionally, the assistant will utilize the TAH contract management system for agreement preparation and will be involved in new project development aimed at enhancing departmental innovation and efficiency. The Legal Operations Assistant will support legal operations by managing corporate governance requirements, preparing necessary filings, and maintaining databases related to these operations. The role also involves adopting new technologies to streamline processes and improve efficiency within the department. The assistant will prepare quarterly reports and presentations for legal and compliance committees, support intellectual property processes, and assist in budget projections. Drafting correspondence for various legal matters, providing operational support to department members, and performing other job-related duties as assigned are also key components of this position. This role is ideal for someone who is detail-oriented, possesses strong analytical skills, and is capable of managing multiple projects in a fast-paced environment. The Legal Operations Assistant will work closely with attorneys, administrative staff, and internal colleagues, requiring excellent communication and interpersonal skills. Responsibilities

  • Support legal operations, including corporate governance and managed businesses requirements.
  • Prepare required annual filings to do business and board minutes.
  • Support changes to members and officers through resolution preparation.
  • Assist with requests for entity information from outside sources, including auditors.
  • Maintain companion databases in operational areas.
  • Adopt new technologies to increase efficiencies and streamline departmental procedures.
  • Prepare various quarterly reports, data analysis, and presentations for legal and compliance committees.
  • Support intellectual property and patent processes, including annuities database and billing.
  • Provide support in preparing and analyzing budget projections.
  • Draft correspondence for various legal matters, including bankruptcy and demand letters.
  • Provide operational support to department members, including report generation and accounts payable processing.
  • Perform other job-related duties as assigned.

Requirements

  • Bachelor's Degree with a focus on business.
  • Minimum Seven (7) - Ten (10) years' experience in a relevant in-house counsel, corporate, or law firm setting required.
  • Experience with corporate governance and matter management systems required.
  • Experience managing a wide range of legal and compliance matters is preferred.
  • Experience in legal operations is strongly preferred.
  • Experience in medical device manufacturing preferred.
  • A paralegal certificate is preferred.

Nice-to-haves

  • Experience in legal operations within the medical device industry.
  • Familiarity with legal research database programs.
