About the position
The Legal Partner, R D Transactions at Astellas Pharma is responsible for providing comprehensive legal support for research and development transactions within the pharmaceutical sector. This role involves drafting, negotiating, and managing a variety of complex agreements related to research, technology, and manufacturing, while ensuring compliance with legal and regulatory requirements. The position also requires collaboration with various internal functions and external partners to facilitate strategic initiatives and minimize legal risks.
Responsibilities
- Provide practical, timely, proactive, strategic, high-quality legal services for the Research, T&M, and Development functions on R&D transactional matters.
- Manage the strategic drafting, negotiating, and consummating of complex agreements in support of Research, including collaborations, material transfers, and consulting services.
- Support T&M with supply agreements, manufacturing contracts, and service agreements, including contract drafting and negotiations.
- Oversee the drafting and negotiation of agreements for Development, including clinical trials, patient recruitment, and regulatory agreements.
- Update management and business clients on legal developments affecting the pharmaceutical industry.
- Contribute to contract enhancement initiatives by preparing and reviewing new templates and guidance.
- Coordinate with members of the Legal Research & M&D and GCO Tower and other Legal & IP Function members.
- Supervise and direct outside counsel while managing legal expenses within the approved budget.
- Handle other projects as requested by the Legal Team Lead, R&D Transactions.
- Travel overnight, including internationally, as needed.
Requirements
- Bachelor of Laws (LL.B.), Juris Doctor (JD), Master of Laws (LL.M.) or equivalent.
- Bar membership in the United States.
- At least 7-10 years' experience focused on pharmaceutical and/or life sciences matters in a law firm or in a pharmaceutical, biotech, or medical device legal department.
- At least 5-7 years of diverse and complex transactional legal experience.
Nice-to-haves
- Science degree or background/experience in chemistry/biology.
- Understanding of legal issues relating to pharmaceuticals, biotech, and/or medical device businesses.
