About the position

At Vistra, we are excited to offer a full-time and permanent position for a Manager - Company Secretary based in Kuala Lumpur, Malaysia. This role is pivotal as it provides regional coverage and allows you to make a significant impact on our company and its growth. Reporting directly to the Directors, you will be responsible for ensuring that our operations align with internal policies and statutory requirements, while also fostering a culture of compliance and corporate governance. You will attend meetings independently, even on rest days and public holidays, and will be expected to identify potential risks and recommend appropriate actions to Senior Managers and Directors. Your role will also involve ensuring timely billing and collections, maintaining proper filing of clients' documents, and conducting training sessions as needed. In addition to operational responsibilities, you will play a crucial role in managing the performance of your team, providing guidance and leadership, and ensuring effective utilization of resources. You will be involved in business development, securing new clients, and maintaining strong relationships with existing clients to ensure their satisfaction and retention. Your ability to anticipate clients' needs and provide technical advisories will be key to your success in this role. This position requires a proactive approach to seeking opportunities for billing and ensuring that fees are aligned with the adopted fee guide. You will also be tasked with any other responsibilities assigned by management, making this a dynamic and engaging role within our organization.

Responsibilities

  • Attend meetings independently as required, including on rest days and public holidays.
  • Ensure strict adherence to internal policies and SOPs by team members.
  • Identify and highlight potential risks to Senior Managers and Directors, recommending appropriate actions when necessary.
  • Ensure timely billing and collections, including capturing all OPEs incurred.
  • Maintain best practices of corporate governance and compliance with statutory/regulatory requirements.
  • Ensure all clients' documents/records are properly filed in statutory records and perform proper housekeeping of clients' records.
  • Participate in recruitment interviews and conduct training sessions as required.
  • Meet potential clients and prepare proposals and quotations for new clients/prospects.
  • Disseminate information/messages from Senior Management to team members in a timely manner.
  • Assist and support Senior Managers and Directors in their absence.
  • Acknowledge receipt of client requests/queries/correspondences within 24 hours and respond within 2 working days.
  • Provide guidance, leadership, and supervision to team members.
  • Communicate criteria and KPIs of respective positions to team members.
  • Manage and measure performance of team members, guiding them in attaining professional competence.
  • Effectively utilize team resources and identify relevant training for team members.
  • Consult with CEO, Directors, and Fellow Managers for coordination and communication with other divisions.
  • Assist Directors in implementing strategies and policies of the CS Division.
  • Provide timely feedback and convey staff concerns/requests to Senior Managers and Directors with possible solutions.
  • Secure new clients and seek business opportunities for business development.
  • Maintain good rapport with clients to manage client relationships and achieve client satisfaction and retention.
  • Assist in cross-selling other services and provide deliverables to clients according to the scope of services.
  • Provide technical advisories and solutions, anticipating clients' needs.
  • Seek opportunities to bill and ensure fees quoted are guided by the adopted fee guide.

Requirements

  • Must be at least an ACIS or possess equivalent qualification.
  • Possess a degree in Corporate Administration or a relevant field.
  • Familiar with Companies Acts, Bursa Malaysia Listing Requirements, CS Guidelines, and other related laws and regulations.
  • Must have at least 6-7 years of relevant working experience.
  • Must have supervisory experience or have managed a team/group with at least 5-8 staff members.
  • Possess good communication skills and be able to work independently with leadership qualities as well as being a good team player.
  • Strong analytical and problem-solving skills are required.
  • Good command of both spoken and written English.
  • Good interpersonal skills and able to work as a team.
  • Good sense of urgency and able to work under pressure.
  • Able to identify and demonstrate clear comprehension of customers' and organizational needs.
  • Punctuality and a high sense of responsibility are essential.
  • Accountable and does not allow personal or organizational issues to interfere with fulfillment of customers' needs.
