About the position

The Manager, M&A and Business Development at Bendix will play a pivotal role in managing key projects and personnel within the New Business Development team. This position involves collaborating with various business units and central functions to identify new business fields and potential acquisition targets. The manager will coordinate due diligence efforts, evaluate deals, and assist in executing acquisitions, strategic partnerships, divestments, and alliances that align with the company's strategic goals. The role requires a strong focus on generating recommendations for strategic growth areas based on comprehensive market research and analysis, ensuring that these recommendations are in line with the company's vision and mission. In this capacity, the manager will lead and develop a team of analysts and co-ops, enhancing their skills and increasing team capabilities through motivation, training, and expanded job responsibilities. The position also entails identifying viable acquisition targets in both existing and adjacent markets, working closely with leadership teams to support business objectives and global innovation projects. This includes conducting financial analysis, field research, and utilizing secondary sources to build a robust global M&A target database. The manager will oversee domestic and international M&A transaction projects, providing insights on strategic, financial, and valuation analyses. This includes structuring transactions, negotiating terms, and reviewing contracts to understand their implications. The role requires presenting transaction statuses and recommendations to regional and global executives for approval, ensuring that all due diligence activities are properly coordinated with business units and corporate functions. The manager will also maintain and organize Virtual Data Rooms and due diligence reports, ensuring a smooth transaction process by collaborating with external financial advisors and legal counsels.

Responsibilities

  • Manage key projects and personnel for the New Business Development team.
  • Identify new business fields and potential acquisition targets in collaboration with business units and central functions.
  • Coordinate due diligence activities and manage M&A transaction projects.
  • Generate recommendations for strategic growth areas based on market research studies.
  • Identify viable acquisition targets and maintain a global M&A target database.
  • Lead and develop analysts and co-ops to improve team capabilities through training and increased responsibilities.
  • Provide input on structuring transactions and negotiating terms.
  • Present transaction status and recommendations to executives for approval.
  • Maintain and organize Virtual Data Rooms and due diligence reports.
  • Coordinate activities with external financial advisors and legal counsels.

Requirements

  • Minimum of 10 years of relevant business development, investment banking, and mergers and acquisitions experience in the automotive, commercial vehicle, or heavy industrial equipment industry.
  • Experience with buy-side and sell-side transaction activities and internal/external M&A processes.
  • Significant experience with complex financial models to evaluate impacts on company financial operations.
  • Experience in forming and negotiating strategic partnerships, alliances, and joint ventures.
  • Understanding of key business operations and interactions between functional departments.

Nice-to-haves

  • Basic commercial vehicle industry knowledge (OE, Fleet and Aftermarket channels, safety systems, and trailer manufacturers).
  • Familiarity with high-level overall vehicle systems including braking and their interactions with other vehicle components.
