About The Position

The Managing Associate in the Energy & Infrastructure Finance group at Sidley Austin LLP will operate at a mid-level, providing legal advice to oil and gas clients throughout various stages of the energy industry. This role involves representing clients in debt financing transactions, mentoring junior associates, and participating in business development initiatives.

Requirements

• Juris Doctor (JD) degree required.
• Must be admitted to practice law in Texas.
• Minimum of 3 years of experience as a Lawyer, Junior Associate, or Mid-level Associate in Finance.
• Experience in drafting, analyzing, and negotiating loan agreements and financing documentation in various financing transactions.
• Experience in performing lender-side legal due diligence in acquisition financing transactions.
• Experience advising clients in lender finance and structured finance transactions.
• Experience reviewing and analyzing credit agreements and financing documents for private equity firms and alternative lenders.
• Experience leading transactions and managing security interest and collateral matters.

Responsibilities

• Advise oil and gas clients in exploration, development, production, and distribution stages.
• Represent industry participants in debt financing transactions, including public offerings and private placements.
• Mentor junior associates and support staff.
• Participate in cross-marketing and business development initiatives to grow the practice.
• Lead transactions and coordinate with local counsel on local laws pertaining to transactions.
• Manage security interest and collateral matters, including perfection of collateral under UCC.
