About the position

The MARS Quality and Risk Manager (QRM) at Deloitte plays a crucial role in supporting internal client service engagement teams involved in the acquisition or divestiture of assets or businesses. This position is responsible for leading consultations with client engagement teams, which includes reviewing, drafting, and negotiating client service contracts and third-party access letter agreements. The QRM will also provide guidance on interfirm agreements and cross-border engagement considerations, analyze potential engagement conflicts, manage confidentiality for MARS engagements, and advise on independence considerations. Additionally, the QRM will evaluate client acceptance and other engagement matters, ensuring compliance with internal policies and procedures. In this role, the QRM will assist with compliance responsibilities such as updating policy manuals, coordinating internal practice reviews, and leading presentations and training sessions. The position requires a proactive approach to managing risk and ensuring that all engagements adhere to the highest standards of quality and compliance. The QRM will also be involved in pre-clearing external communications, including eminence materials and proposals, to ensure they align with Deloitte's policies and standards. The MARS QRM will work closely with various stakeholders, including the Office of General Counsel, to address contracting matters and provide support during contract negotiations. This role is essential for maintaining the integrity of MARS services and ensuring that all engagements are conducted in accordance with legal and ethical standards. The position can be filled from any of the MARS offices and will involve limited travel, making it a flexible opportunity for qualified candidates.

Responsibilities

  • Lead consultations with client engagement teams regarding client service contracts and third-party access letter agreements.
  • Advise on contract structuring, drafting customized contractual provisions, and performing risk reviews.
  • Support contract negotiations by developing tactics to resolve contractual issues.
  • Consult with the Office of General Counsel on contracting matters.
  • Review and modify audit and tax workpaper access letter agreements from other firms.
  • Evaluate reports generated from internal systems and research potential conflict matters.
  • Understand and apply client acceptance policies and requirements.
  • Lead the coordination and monitoring of practice reviews for annual selection of Advisory PPMDs.
  • Develop and present risk topics at MARS quarterly staff meetings.
  • Review and modify eminence and marketing materials to comply with external communications policy.

Requirements

  • Minimum 5 years of consulting, contracting, and management experience.
  • BBA/BA/BS in a related field with experience delivering M&A client services.
  • Experience in drafting and negotiating letter agreements related to M&A.
  • Ability to work directly with senior-level individuals internally and externally.
  • One of the following accreditations: Licensed CPA, Licensed attorney, or Enrolled agent.
