About the position

SitusAMC is seeking a dedicated individual to provide support to Senior Legal Department attorneys and other professionals on contracts, projects, and various assigned matters. This role is integral to the legal department, reporting directly to the Deputy General Counsel. The successful candidate will collaborate with legal and business partners across the company to further the firm's business objectives. The position involves a variety of essential job functions, primarily focused on contracts administration and special projects. In terms of contracts administration, the individual will be responsible for reviewing, analyzing, drafting responses, and negotiating requests for revisions to various agreements, including but not limited to NDAs, MSAs, SOWs, inbound/outbound license agreements, technology agreements, and vendor agreements. The role requires identifying exceptions for review by attorneys in line with applicable guidelines and providing recommendations regarding any exceptions or escalations. Additionally, the candidate will maintain and revise contract templates for review by in-house attorneys and communicate with cross-functional teams such as Compliance, InfoSec, Sales, and Finance to resolve issues related to commercial contracts. The position also entails supporting Senior Legal Department attorneys on various research projects, including the organization and formation of policies and procedures. The candidate will assist in maintaining compliance tracking and obligations for Registered Investment Advisor entities and lead or participate in projects related to legal department initiatives. Furthermore, the role includes assisting in mergers, acquisitions, and other strategic transactions, including due diligence and transaction management, in coordination with corporate development professionals and outside advisors. The individual will also support other legal professionals by preparing presentations, spreadsheets, and other materials, ensuring that all business is conducted with integrity and professionalism.

Responsibilities

  • Review, analyze, draft responses, and negotiate requests for revisions to various agreements including NDAs, MSAs, SOWs, and vendor agreements.
  • Identify exceptions for review by attorneys in line with applicable guidelines and provide recommendations.
  • Maintain and revise contract templates for review by in-house attorneys.
  • Communicate and collaborate with Compliance, InfoSec, Sales, Finance, and other cross-functional teams to resolve issues related to commercial contracts.
  • Provide guidance on contract terms to internal stakeholders and answer questions about contracts and the approval process.
  • Draft form contracts and correspondence using proper templates and within established service levels.
  • Assist in maintaining contract and document management systems.
  • Support Senior Legal Department attorneys on various research projects, including the organization and formation of policies and procedures.
  • Support enforcement of compliance tracking and obligations for Registered Investment Advisor entities.
  • Lead and/or participate in projects related to legal department initiatives.
  • Assist in mergers, acquisitions, and other strategic transactions, including due diligence and transaction management.
  • Prepare PowerPoint presentations, spreadsheets, and other materials for legal professionals.

Requirements

  • Associate degree or paralegal certificate strongly preferred, and/or bachelor's degree and/or relevant legal experience in finance or technology sectors strongly preferred.
  • Minimum of 6+ years of industry and/or relevant experience, typically with 1+ years in a Senior Associate level role or external equivalent.
  • A minimum of 5 years contracts-related legal experience in a corporate or law firm setting (in-house legal department or procurement role strongly preferred).
  • Demonstrate high academic achievement, as well as strong written and verbal communication skills.
  • Skill in the creation, integration, revision and management of contracts and legal documents.
  • Excellent teaming, project leadership, and communication skills.
  • Superior attention to detail, as well as organizational and multi-tasking skills.
