About the position

Our client, a reputable and growing Austin area law firm, is looking to hire an experienced Corporate Paralegal/Legal Assistant on a full-time basis. This firm is located in Downtown Austin and this position is in the office daily. The Corporate Paralegal will assist various attorneys and clients with all facets of corporate law including, but not limited to, venture capital financings, mergers and acquisitions, tech transactions, and general corporate matters. The role requires advanced knowledge of corporate laws with the ability to perform complex analysis and problem solving. The Corporate Paralegal will have a high level of responsibility for all aspects of general corporate work including formations, document drafting, preparation of filings, and the creation and maintenance of all client records. In this position, the Corporate Paralegal will draft minutes, board/manager and shareholder/member resolutions, waivers, and private company shareholder/member meeting documents. They will assist with corporate financings and mergers and acquisitions, managing certain transactions with private financings and corporate acquisitions, including preparation and distribution of key documents and organization of completed closing records. Additionally, the Corporate Paralegal will draft all stock/unit purchase and stock/unit option agreements and maintain all plan documentation records. They will also review due diligence materials and prepare due diligence memos. The position requires maintaining a billing requirement of 100-115 hours per month after the first 90 days in the position.

Responsibilities

Requirements

  • 5-7 years of paralegal experience
  • Paralegal certification and/or degree from accredited college or university is preferred, but not required
  • Ability to prioritize projects
  • Proficient in all Microsoft applications (including Word, Excel, PowerPoint, Outlook), Westlaw, DocuSign and document management software
