About the position

Pillsbury Silicon Valley is seeking a Paralegal with extensive experience in corporate transactions, particularly in IPOs, mergers and acquisitions, and venture capital financings. This role involves working with a diverse range of clients, including technology start-ups and public firms, and focuses on incorporating high-tech companies, managing records, and administering stock option plans.

Responsibilities

• Incorporate high-tech companies and manage records.
• Administer and implement stock option plans.
• Handle venture capital financings and conduct blue sky research.
• Oversee intricate shareholder mailings with assistance from other legal analysts.

Requirements

• 5 to 10 years of experience in corporate transactions including IPOs, mergers and acquisitions, and venture capital financings.
• BA/BS degree or equivalent with a paralegal certificate from an ABA-approved program.
• Experience supporting IPOs from start to finish.
• Diligent in maintaining corporate governance documents including minute books and closing binders for complex transactions.
• Experience with stock options, stock splits, and cap table management software (e.g., eProsper, Carta).
• Excellent computer skills, including proficiency in DocuSign and MS Office (Word, Excel, Outlook).
