About the position

The Paralegal, Corporate & Securities position at Petco involves supporting attorneys in managing a variety of legal matters, conducting legal research, and assisting with corporate governance and M&A projects. The role requires strong communication skills, the ability to prioritize tasks, and a solid understanding of contracts and legal principles. This position is essential for ensuring compliance and effective legal operations within the company.

Responsibilities

  • Assist attorneys with organizing, managing, and maintaining a variety of matters.
  • Communicate regularly with the team to inform them of the status of matters and projects.
  • Perform legal research and data compilation.
  • Interact professionally and effectively through verbal and written communication.
  • Prioritize and accomplish multiple tasks within established timeframes.
  • Prepare accurate and complete work products.
  • Assist with internal and external communications related to legal matters.
  • Provide support with invoicing review and approval, accrual, expense tracking, internal reporting, and other legal related spend reporting.
  • Examine and evaluate information regarding corporate governance and exercise judgment for the need of additional information.
  • Support corporate matters including equity plans, corporate governance matters, and board meeting preparations.
  • Support M&A projects and Petco deal arrangements from inception to integration.
  • Utilize knowledge of contracts and experience to analyze data and situations to determine appropriate course of action in the best interest of Petco.
  • Provide the business a summary of contract terms that require negotiations and provide point of negotiation.
  • Provide support in contracts administration.
  • Convey routine information to client representatives regarding legal and/or contractual issues associated with existing or proposed operational situations.
  • Coordinate the gathering of information from various departments in the preparation of contracts and other legal documents.
  • Independently review certain contracts and other legal documents to ensure necessary provisions are included.
  • Assist in crafting and implementing litigation legal holds.
  • Organize materials and responses to due diligence requests.
  • Compile, review, and organize information, materials, documents, reports, and evidence.
  • Exercise discretion when interviewing custodians.
  • Summarize depositions and other legal documents.
  • Prepare reports, correspondence, memoranda, and other documents.
  • Conduct routine and specific legal and factual information research and data compilation.
  • Oversee managing of the intellectual property program.
  • Oversee management of the ethics hotline.
  • Draft letters related to store operations.

Requirements

  • College degree and paralegal certification from an accredited paralegal program required.
  • Minimum 5 years of progressively responsible paralegal experience in a corporate legal department or law firm environment.
  • Strong knowledge of general legal terminology and legal principles.
  • Demonstrated strong ability to perform legal research, conduct discovery, and understand contracts.
  • Experience using modern office equipment, including Microsoft Word software and electronic resource tools such as Lexis-Nexis and Westlaw.
  • Exceptional ability to communicate effectively orally and in writing, negotiate effectively, and interview associates, vendors, and customers.
  • Ability to prepare accurate and complete work products, organize and prioritize workload, and meet multiple coinciding deadlines.
