About the position

The Paralegal: II (Intermediate) position at our Greenwood Village, CO location offers a unique opportunity for individuals with a strong background in legal support, particularly in corporate and transactional law. This role is designed for a contract duration of 6+ months and allows for a hybrid work environment, combining both remote and in-office responsibilities. The Sr. Paralegal will be integral in assisting attorneys and supervisors with a variety of legal tasks, including the preparation of legal, loan, and collateral documentation, as well as conducting necessary research to support corporate transactions. In this role, the paralegal will engage in drafting and reviewing essential legal documents, ensuring compliance with state statutes, and maintaining the perfection of collateral. The position requires ordering UCC lien searches, obtaining and reviewing organizational documents, and performing follow-ups to ensure that all documentation is current and accurate. The paralegal will also assist in legal audits, maintain organized legal files, and support mortgage law research to keep documentation up to date. The ideal candidate will possess strong analytical skills and the ability to perform legal research, including cite checking and summarizing findings. Additionally, the paralegal will be responsible for managing original documents, performing flood zone determinations, and ensuring compliance with flood insurance laws. This position requires excellent communication skills to respond to customer inquiries and provide status updates on transactions, working closely with internal and external stakeholders such as relationship managers, credit analysts, and attorneys.

Responsibilities

  • Assists in drafting and review of basic legal, loan and collateral documentation, correspondence and opinions.
  • Perfects collateral according to state statutes and maintains perfection of collateral to include extensions, amendments, and continuations as needed.
  • Orders UCC lien searches for verification and determination of lien position.
  • Obtains and reviews organizational documents and completes signatory authority reviews.
  • Prepares borrower and guarantor resolutions and performs follow up, tracking and maintenance of updated organizational documents.
  • Assists in drafting, updating and maintenance of standard loan documentation language and templates and mortgage templates.
  • Assists in performing legal audits and maintains organized legal files and electronic databases.
  • Assists in research mortgage law to keep mortgage review binders current and performs mortgage expiration reviews according to state guidance.
  • Assists in drafting procedures and guidance and performs legal research, including cite checking.
  • Summarizes research results and recommends appropriate courses of action.
  • Performs promissory note audit and safekeeping management of original documents.
  • Performs flood zone determinations and determines eligible buildings requiring flood insurance.
  • Obtains applicable property, general liability, or builders risk policies and establishes records in collateral tracking system.
  • Responds to customer requests related to status updates and details of the transaction after consulting with an attorney.
  • Assists in performance of general corporate support functions as required.
  • Performs custodial duties and audits for the note files and other specific types of personal property files held in records.
  • Inputs and maintains tracking of collateral and insurance and ensures compliance with applicable laws and regulations relating to flood insurance.

Requirements

  • Two (2) or more years of paralegal experience, preferably in a secured lending practice or law firm; or appropriate combination of education and experience.
  • High School Diploma.

Nice-to-haves

  • College degree and paralegal certification.
  • Five (5) or more years of paralegal experience, preferably in commercial real estate, commercial banking and finance.
  • Basic knowledge of legal, commercial lending, and lease terminology, title insurance, real estate law, the Uniform Commercial Code and collateral documentation, with intermediate knowledge of some of these areas preferred.
  • Knowledge of flood laws and insurance; property, general liability, and all forms.
  • Demonstrated skills in Microsoft Office applications (Outlook, Word and Excel).
  • Ability to prioritize and schedule work and projects with minimal supervision.
  • Ability to work independently with minimal guidance, as well as collaboratively in a team environment.
