About the position

The Paralegal II position at Hackensack Meridian Health (HMH) is a vital role within the Legal Department, working closely with Associate General Counsel(s) and litigation attorneys on various corporate and healthcare legal matters. This position involves conducting legal research, investigating facts, and preparing essential legal documents to support HMH's legal position in specific cases. The Paralegal II will also assist in contract review and ensure compliance with both legal and purchasing department requirements, making it a unique opportunity to engage with purchasing leadership on highly visible projects. In this role, the Paralegal II will be responsible for a range of tasks including contract maintenance support, where they will assist in the administration of Tract Manager, field questions, generate reports, and ensure the quality of document inputs. They will also support physicians' contracts by reviewing, constructing, revising, and negotiating physician agreements, ensuring timely processing so that physicians can begin providing services as scheduled. Additionally, the Paralegal II will assist with clinical trial agreements, drafting and filing corporate legal documents, and monitoring OIG Advisory Opinions and other pertinent materials. The position requires a proactive approach to vendor contract support, ensuring compliance with HMH's stringent requirements, and conducting UCC debtor searches and other legal research as needed. This role offers a hybrid work schedule, requiring in-office presence approximately one day per week, allowing for flexibility while maintaining essential team connections.

Responsibilities

  • Assist in the administration of Tract Manager under the management and corroboration of Senior Counsel.
  • Field questions, generate reports, quality check the input of all documents, cull expired documents, and assist in the education of team members.
  • Review, construct, revise, and negotiate physician agreements in a timely manner.
  • Collect and organize due diligence for Closings, Litigation, and Financings.
  • Review, revise, and negotiate Clinical Trial Agreements under the management of Senior Counsel.
  • Draft and file corporate legal documents as required, including corporate resolutions and agreement amendments.
  • File corporate documents with State, County, and Federal Governments, ensuring timely submissions.
  • Monitor and compile OIG Advisory Opinions and news releases, and BME Proposals and Rulings.
  • Review, revise, and negotiate contracts with outside vendors to ensure compliance with HMH's requirements.
  • Conduct UCC debtor searches, local judgment searches, State tax lien searches, Federal judgment searches, and bankruptcy searches.

Requirements

  • Associates working towards a Bachelor's level legal degree, though a Bachelor's is preferred.
  • Minimum of 5 years legal/paralegal experience or a J.D. Degree.
  • Strong knowledge of legal principles and practices, legal research techniques, legal terminology, and legal communication principles.
  • In-depth knowledge of local, state, and federal laws and regulations.
