The DVG Paralegal is responsible for providing legal and procedural support for the DaVita Venture Group team. The legal and procedural support includes drafting, proofreading and redlining legal documents related to M&A, partnership and venture transactions; performing legal research; evaluating, organizing, analyzing and communicating legal facts and concepts; and tracking and analyzing budget and pipeline information. The DVG Paralegal may also be asked to support other team members on special projects, as needed. The ideal candidate will possess excellent research and writing skills, as well as the ability to work in a fast-paced environment that requires attention to detail.

Responsibilities

  • Serve as a valuable resource to DVG attorney and transactions team.
  • Prepare agreements and support documents in connection with transactions, including letters of intent, stock purchase agreements, operating agreements, SAFEs and closing documents.
  • Coordinate closing of transactions under the direction of attorneys, including preparing and managing closing checklists and closing binders.
  • Apply legal principles and judgment to the identification, analysis and solution of legal issues in connection with transactions.
  • Prepare, review and revise complex legal documents as directed by attorneys.
  • Perform independent legal research and document and communicate results of research.
  • Manage legal databases and archives.
  • Partner with legal team to enhance clause library to help standardize terms and improve contracting efficiency.
  • Continuously identify, manage and implement process efficiencies and automations and work with IT to identify and pilot tools to enhance contracting processes.
  • Create reports and/or help to identify software to create reports to update leadership on contract-related metrics.
  • Collaborate with business stakeholders to identify comprehensive contract pipeline.
  • Attend and help plan team meetings, conferences, and training as needed.
  • Know, understand and follow teammate guidelines, employment policies, and company policies and procedures.
  • Consistent, regular, punctual attendance as scheduled is an essential responsibility of the position.

Requirements

  • Associate's degree required.
  • Bachelor's degree (BA or BS) preferred.
  • Paralegal Certificate from ABA accredited program preferred.
  • Minimum 5 years' paralegal experience required.
  • Experience working in or with health care companies is a plus.
  • Advanced computer skills and proficiency in MS Word, Outlook, Excel and PowerPoint required.
  • Possess strong interpersonal and communication skills, both written and oral.
  • Exceptional organization and attention to detail.
  • Ability to manage multiple projects, meet deadlines, and adjust priorities.
  • Can work independently and is a self-starter.
  • Experience with document management system and Salesforce preferred.
