About the position

HCA Healthcare is seeking a dedicated Paralegal to join our Corporate Legal section. This role is essential in supporting corporate structure matters and related issues under the direction of attorneys. The Paralegal will work independently and collaboratively to manage a variety of responsibilities that are crucial to the organization’s legal operations. The position involves preparing and filing various legal documents, including formation, qualification, amendment, merger, and dissolution filings with state secretaries and regulatory authorities. Additionally, the Paralegal will be responsible for preparing and reviewing corporate governance documents and resolutions, summarizing corporate transactions, and maintaining corporate entity records in both paper and electronic formats. The role also requires organizing and managing requests for corporate structure data, conducting legal research, and coordinating with HCA Healthcare management, outside counsel, registered agents, and government authorities regarding corporate structure matters. Strong organizational and communication skills, both oral and written, are essential, along with the ability to manage a high volume of diverse matters simultaneously. The ideal candidate will have a minimum of 3 years of experience in a similar role and possess a Bachelor’s degree and/or a paralegal certificate, which is preferred. Responsibilities

  • Prepare and file formation, qualification, amendment, merger, dissolution, and other filings with secretaries of states and regulatory authorities.
  • Prepare and review corporate governance documents and resolutions.
  • Summarize corporate transactions and organizational structure.
  • Log and file corporate entity records and information in paper and electronic systems.
  • Organize, manage, and respond to requests for corporate structure data.
  • Conduct legal research.
  • Coordinate with HCA Healthcare management, outside counsel, registered agents, and government and regulatory authorities regarding corporate structure related matters.

Requirements

  • 3+ years of experience as a paralegal or in a similar role.
  • Strong organizational and communication skills (oral and written).
  • Legal research experience.
  • Proven ability to manage a high volume and variety of matters simultaneously.
  • Ability to work independently and as part of a team.
