As a Paralegal, you will play a crucial role in supporting the Company's in-house lawyers and managing various legal and corporate compliance tasks. Your responsibilities will include administering and managing corporate organizational documents, assisting with public company matters, and managing Board of Directors activities. You will also implement and manage contract approval processes, maintain legal forms and contracts database, and provide support for a wide range of agreements. Additionally, you will be responsible for managing legal invoices, serving as a notary for the Company, and collaborating with company management and key internal stakeholders to support business operations. This position requires a detail-oriented individual with excellent legal judgment, strong organizational skills, and exceptional communication abilities. You will need to be self-motivated, able to work independently and within a team, and thrive in a fast-paced, deadline-oriented environment. Your proficiency in Microsoft Office Suite and experience in a large law firm or in-house setting will be essential for success in this role.

Responsibilities

  • Administer and manage corporate organizational documents including articles of incorporation, bylaws, and good standing certificates.
  • Assist in-house lawyers with public company matters, including preparation and review of corporate and disclosure reports.
  • Manage Board of Directors activities, including calendar and meeting management, and distribution of presentation materials.
  • Implement and manage contract approval, execution, and management procedures.
  • Administer and manage legal forms and contracts templates database.
  • Provide support for various agreements, including confidentiality agreements, by preparing and arranging for signatures.
  • Manage documentation, registrations, permits, certifications, and filings required by regulatory authorities.
  • Implement and manage corporate compliance policies and compliance training.
  • Assist in-house lawyers with corporate finance, treasury, securities, mergers and acquisitions, and litigation matters.
  • Manage and process legal invoices from external advisors and service providers.
  • Serve as a notary for the Company, verifying documents and administering oaths.
  • Manage incoming Law Department communications and appointments.
  • Collaborate with company management and internal stakeholders to support business operations.

Requirements

  • Bachelor's degree required.
  • Minimum of 4 years of large law firm and/or in-house experience required.
  • Experience with general corporate, securities, and commercial transactions.
  • High degree of proficiency in Microsoft Office Suite (Word, PowerPoint, SharePoint, Excel), Microsoft Outlook, and Adobe Acrobat.
  • Strong organizational skills and attention to detail.
  • Exceptional verbal and written communication skills.

Nice-to-haves

  • Experience with securities law and compliance matters.
  • Familiarity with corporate governance and Board of Directors processes.
  • Notary Public certification.
