About the position

The Corporate Paralegal will support the legal department and other functions in various corporate governance, compliance, and transactional matters. This role requires a detail-oriented professional with excellent organizational and communication skills, and a strong understanding of corporate law, preferably with experience in an in-house legal department or law firm.

Responsibilities

  • Assist in the preparation and filing of corporate documents, including formation, dissolution, licenses/permits, and annual reports.
  • Prepare and organize corporate records, including minute books, board resolutions, and shareholder agreements.
  • Support the legal team in mergers and acquisitions, including due diligence, document preparation, and closing processes.
  • Assist in the preparation and review of contracts, agreements, and other legal documents.
  • Ensure compliance with federal, state, and local regulations.
  • Liaise with external counsel and regulatory bodies as needed.
  • Provide administrative support to the legal team, including scheduling, correspondence, and document management.
  • Maintain shared information databases and document management systems for accurate records management.
  • Work with registered agent for entity management system.

Requirements

  • Bachelor's degree or Paralegal Certificate from an ABA-approved program.
  • Minimum of 8 years of experience as a corporate paralegal, preferably in a corporate legal department or law firm.
  • Strong knowledge of corporate law, governance, and compliance.
  • Excellent organizational and time management skills with the ability to manage multiple tasks and deadlines.
  • Exceptional written and verbal communication skills.
  • High level of professionalism and discretion in handling confidential or otherwise sensitive information.
  • Ability to work independently and as part of a team.
  • Familiar with Microsoft Office/Google Workspace applications.

Nice-to-haves

  • Experience with mergers and acquisitions.
  • Familiarity with securities law and filings.
  • Knowledge of contract management systems.
  • Notary Public for the State of NJ or GA, depending on hiring location.
